GLOBAL LEGIT SUMMIT – GENERAL DISCLAIMER

Clause 1 – Background

1.1 This Disclaimer is issued by Global Legit and its associated verticals, affiliates, subsidiaries, associate entities, divisions, verticals, forums, publications, processes, programmes, initiatives, platforms, representatives, officers, employees, consultants, advisors, authorised partners, successors and permitted assigns (collectively, "Global Legit").

1.2 This Disclaimer governs all past, present and future, processes, programmes, services, initiatives, events, platforms, publications, activities, engagements and commercial ecosystems organised, administered, facilitated, promoted or supported by Global Legit.

1.3 The purpose of this Disclaimer is to define the legal rights, obligations, limitations, exclusions and responsibilities applicable to all persons interacting with or participating in any activity conducted by Global Legit.

1.4 This Disclaimer shall apply to every participant, applicant, enterprise, investor, institution, organisation, sponsor, partner, consultant, advisor and any other person who accesses, uses, participates in or otherwise engages with any, processes, programme, platform or service of Global Legit.

1.5 By accessing, registering for, participating in or continuing to engage with any, processes, programme, platform or service of Global Legit, every person acknowledges, accepts and agrees to be legally bound by this Disclaimer, as amended from time to time.

Clause 2 – Purpose

2.1 The purpose of this Disclaimer is to define, regulate and govern the legal framework applicable to all, processes, programmes, initiatives, services, activities, platforms, publications, engagements and commercial ecosystems administered, facilitated, promoted or supported by Global Legit.

2.2 This Disclaimer is intended to establish the rights, obligations, limitations, exclusions, reservations, disclaimers and responsibilities of Global Legit and all persons interacting with or participating in any such, processes, programmes, initiatives or activities.

2.3 This Disclaimer is further intended to protect the legitimate legal, commercial, operational and reputational interests of Global Legit while ensuring transparency regarding the nature, scope and limitations of its services, facilitation activities and commercial engagements.

2.4 Nothing contained in this Disclaimer shall be construed as creating any obligation, commitment, guarantee, warranty, representation or assurance on the part of Global Legit except to the extent expressly agreed in writing by its duly authorised representative.

Clause 3 – Scope and Applicability

3.1 This Disclaimer shall apply to all present and future processes, programmes, initiatives, services, activities, platforms, publications, events, conferences, summits, forums, engagements, communications, transactions, collaborations, commercial ecosystems and any other activities, arrangements or undertakings organised, administered, facilitated, promoted, supported, sponsored, coordinated, hosted or otherwise undertaken by or on behalf of Global Legit.

3.2 This Disclaimer shall be binding upon and applicable to all applicants, registrants, participants, attendees, delegates, speakers, panellists, moderators, sponsors, exhibitors, enterprises, investors, institutions, organisations, partners, consultants, advisors, service providers, representatives and any other person who accesses, uses, attends, participates in, contributes to, communicates with or otherwise engages with Global Legit or any activity conducted by or through Global Legit.

3.3 This Disclaimer shall apply throughout the entire lifecycle of any interaction, registration, application, onboarding, profiling, assessment, evaluation, nomination, participation, facilitation, introduction, networking activity, commercial engagement, investment process, collaboration, transaction, communication or other engagement, including all related pre-engagement, ongoing and post-engagement activities.

3.4 This Disclaimer shall apply irrespective of whether any engagement, interaction or activity is conducted physically, virtually, digitally, electronically, remotely, in hybrid format or through any other medium, channel, technology, platform or mechanism.

3.5 This Disclaimer shall apply irrespective of whether participation, engagement or interaction is direct or indirect, active or passive, formal or informal, express or implied, paid or unpaid, invited or unsolicited, individual or collective.

3.6 This Disclaimer shall apply in conjunction with all applicable terms and conditions, policies, guidelines, codes of conduct, programme documents, declarations, consent forms, notices, communications and other documents issued, published or made available by Global Legit from time to time.

3.7 Nothing contained in this Disclaimer shall be construed as limiting the applicability of any additional terms, conditions, policies, declarations, acknowledgements or agreements that may apply to a particular programme, activity, event, engagement or service.

3.8 In the event of any inconsistency between this Disclaimer and any specific document issued by Global Legit in relation to a particular programme, activity, event, engagement or service, such specific document shall prevail solely to the extent of such inconsistency and only where it expressly states its intention to override this Disclaimer; in all other circumstances, this Disclaimer shall continue to apply in full force and effect.

3.9 This Disclaimer shall survive and continue to apply notwithstanding the completion, suspension, postponement, cancellation, withdrawal, termination or cessation of any registration, participation, engagement, activity, programme, event or relationship with Global Legit to the extent necessary to give effect to its purpose and provisions.

Clause 4 – Definitions

4.1 Unless the context otherwise requires, the capitalised terms used in this Disclaimer shall have the meanings assigned to them below.

4.2 "Global Legit" means Global Legit and its affiliates, subsidiaries, associate entities, divisions, verticals, forums, publications, processes, programmes, initiatives, platforms, representatives, officers, employees, consultants, advisors, authorised partners, successors and permitted assigns.

4.3 "Disclaimer"means this Disclaimer, including all amendments, revisions, modifications, schedules, annexures and supplements issued by Global Legit from time to time.

4.4 "Participant"means any individual, enterprise, organisation, institution, investor, sponsor, partner, consultant, advisor, service provider or any other person who accesses, registers for, uses, participates in or otherwise engages with Global Legit.

4.5 "Processes, Programme" means any summit, conference, initiative, platform, service, event, publication, project, profiling exercise, investment facilitation activity, commercial engagement or any other activity organised, administered, facilitated, promoted or supported by Global Legit.

4.6 "Services"means all present and future services, facilities, activities, solutions and support provided, facilitated, coordinated, administered, promoted or otherwise made available by or through Global Legit.

4.7 "Applicable Law" means all applicable statutes, laws, rules, regulations, ordinances, notifications, circulars, directions, governmental orders, judicial decisions, regulatory requirements and other instruments having the force of law in the relevant jurisdiction.

Clause 5 – Interpretation

5.1 This Disclaimer shall be interpreted fairly and in a manner that gives full effect to its purpose, intent, scope and legal enforceability.

5.2 Headings, titles, captions, schedules, annexures and clause references are inserted for convenience only and shall not affect the interpretation or construction of this Disclaimer.

5.3 Unless the context otherwise requires, words importing the singular shall include the plural and vice versa, words importing any gender shall include every gender, and references to a person shall include any natural person, body corporate, corporation, partnership, limited liability partnership, trust, association, institution, governmental authority, regulatory authority, international organisation or other legal entity.

5.4 The words "including", "includes", "including without limitation", "such as" and similar expressions shall be construed as illustrative and not limiting.

5.5 References to any law, statute, regulation, ordinance, rule, notification, circular, policy, guideline, governmental instrument or regulatory requirement shall include any amendment, modification, consolidation, re-enactment, replacement or successor thereto from time to time.

5.6 Capitalised terms not expressly defined in this Disclaimer shall have the meanings assigned to them in the applicable process, programme, platform, initiative, service, event, summit, conference, publication, policy or related document issued by Global Legit and, in the absence thereof, shall be interpreted in accordance with their ordinary legal, commercial and institutional meaning.

5.7 Any ambiguity, uncertainty or inconsistency shall be interpreted in a manner that gives maximum effect to the purpose, intent, protections, exclusions, limitations, reservations and rights contained in this Disclaimer and shall not be interpreted against Global Legit solely on the ground that it prepared, drafted or issued this Disclaimer.

5.8 If any provision of this Disclaimer is declared invalid, illegal, unenforceable or ineffective by a court, tribunal, regulatory authority or other competent body, the remaining provisions shall continue in full force and effect and shall be interpreted so as to preserve the original intent of this Disclaimer to the greatest extent possible.

Clause 6 – Nature of Participation and Engagement

6.1 Participation in, attendance at, access to, registration for, contribution to or engagement with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem of Global Legit is voluntary and undertaken at the sole discretion and risk of the relevant participant.

6.2 Each participant shall be solely responsible for evaluating and determining the suitability, desirability, appropriateness and potential consequences of any participation, engagement, interaction, communication, introduction, opportunity, activity, transaction or arrangement arising from or connected with Global Legit.

6.3 Global Legit acts solely as an organiser, administrator, facilitator, coordinator, promoter, host, supporter or intermediary, as applicable, and shall not be deemed to be acting as an agent, broker, trustee, fiduciary, representative, partner, advisor, guarantor or decision-maker on behalf of any participant unless expressly agreed in writing by its duly authorised representative.

6.4 Participation in or engagement with Global Legit shall not create, imply or be construed as creating any partnership, joint venture, agency, employment, fiduciary, representative, advisory, contractual or other special relationship between Global Legit and any participant, or between any participants themselves.

6.5 No participant shall be entitled to assume, infer or claim that any registration, participation, attendance, communication, introduction, nomination, profiling, assessment, evaluation, facilitation, engagement or interaction with Global Legit creates any right, entitlement, expectation, preference, priority, accreditation, endorsement, certification, recommendation, approval, investment opportunity, commercial opportunity or continuing relationship.

6.6 Any decision made or action taken by a participant in connection with any information, communication, introduction, opportunity, engagement, activity, programme, event or interaction associated with Global Legit shall be made independently and at the participant’s sole responsibility.

6.7 Global Legit does not undertake to monitor, verify, validate, investigate, supervise, endorse, certify or guarantee the conduct, competence, qualifications, representations, intentions, financial standing, legal standing, credibility, performance or suitability of any participant, enterprise, institution, organisation or third party unless expressly stated otherwise in writing.

6.8 Participants acknowledge and agree that engagement with Global Legit may involve interactions with third parties and that all decisions relating to such interactions, relationships, discussions, collaborations, transactions or arrangements shall remain the sole responsibility of the relevant participants.

6.9 Nothing contained in any process, programme, initiative, service, platform, publication, event, summit, conference, forum, communication or activity of Global Legit shall be construed as creating any obligation on the part of Global Legit to provide any service, opportunity, introduction, facilitation, support, recommendation, endorsement, investment, funding, commercial outcome or other benefit unless expressly agreed in writing by its duly authorised representative.

6.10 Participation in any activity conducted by or through Global Legit constitutes acknowledgement and acceptance of the nature, scope and limitations of Global Legit’s role as set out in this Disclaimer.

Clause 7 – Information and Communications Disclaimer

7.1 All information, content, materials, communications, publications, presentations, statements, discussions, announcements, documents, data, reports, correspondence and other information made available by or through Global Legit are provided for general informational purposes only unless expressly stated otherwise in writing.
7.2 While Global Legit may endeavour to ensure that information made available through its processes, programmes, initiatives, services, platforms, publications, events, summits, conferences, forums and activities is accurate and current, Global Legit makes no representation, warranty, undertaking or guarantee, whether express or implied, regarding the accuracy, completeness, reliability, adequacy, validity, suitability, availability, timeliness or fitness for any particular purpose of such information.
7.3 Information provided by or through Global Legit may be based upon information received from third parties, publicly available sources, participant submissions, external contributors or other sources over which Global Legit may have limited or no control, and Global Legit shall not be responsible for any inaccuracies, omissions, deficiencies or errors contained therein.
7.4 Global Legit does not undertake any obligation to verify, validate, investigate, monitor, update, correct, supplement or maintain the accuracy, completeness or continued availability of any information, communication, publication or material unless expressly required by applicable law or expressly agreed in writing.
7.5 Any information, communication, publication, presentation, discussion, statement or material made available by or through Global Legit may be modified, supplemented, updated, restricted, withdrawn, suspended or discontinued at any time without prior notice and without incurring any liability.
7.6 Global Legit does not represent or warrant that any information, communication, platform, publication, document, material or content will be uninterrupted, error-free, secure, compatible, accessible at all times or free from technical defects, delays, interruptions or inaccuracies.
7.7 Communications made by or through Global Legit, including communications made during events, summits, conferences, forums, meetings, networking activities, discussions, publications, digital platforms, correspondence or other engagements, shall not be construed as creating any commitment, assurance, guarantee, obligation, representation or contractual undertaking unless expressly confirmed in writing by a duly authorised representative of Global Legit.
7.8 Global Legit shall not be liable for any loss, damage, cost, expense, liability, claim or consequence arising directly or indirectly from the use of, access to, reliance upon or inability to access any information, communication, publication, material, platform or content made available by or through Global Legit.
7.9 Participants are solely responsible for independently assessing, verifying and evaluating the accuracy, relevance, suitability and reliability of any information, communication, publication, statement, representation or material before acting or relying upon it.
7.10 Nothing contained in any information, communication, publication, presentation, discussion, correspondence or material issued, circulated or made available by or through Global Legit shall be construed as creating any legal, commercial, financial, investment, professional or other obligation on the part of Global Legit except to the extent expressly agreed in writing by its duly authorised representative.

Clause 8 – Non-Reliance Disclaimer

8.1 Each participant acknowledges and agrees that participation in, attendance at, access to or engagement with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem of Global Legit is undertaken at the participant’s own discretion, judgment and responsibility.

8.2 No participant shall rely upon, and Global Legit shall not be deemed responsible for, any statement, communication, representation, opinion, projection, forecast, estimate, publication, presentation, discussion, introduction, recommendation, information, material or content made available by or through Global Legit, whether oral, written, electronic, digital, express or implied, as the sole or decisive basis for any legal, commercial, financial, investment, business, professional or other decision.

8.3 Participants acknowledge and agree that any information, communication, publication, statement, presentation, discussion, introduction, opportunity or engagement made available by or through Global Legit may be incomplete, subject to change, dependent upon third-party information or influenced by circumstances beyond the control of Global Legit.

8.4  Each participant shall conduct such independent enquiries, assessments, verifications, investigations, analyses and due diligence as the participant considers necessary or appropriate before entering into, pursuing, continuing or refraining from any transaction, engagement, investment, collaboration, arrangement, relationship or course of action.

8.5  Global Legit does not assume any duty to advise, warn, recommend, verify, investigate, validate, monitor or otherwise protect the interests of any participant in relation to any opportunity, engagement, transaction, arrangement, relationship, activity or decision.

No communication, interaction, introduction, facilitation, networking activity, publication, presentation, meeting, discussion, correspondence or engagement involving Global Legit shall be construed as creating any representation, warranty, guarantee, certification, endorsement, approval, assurance or commitment regarding any person, enterprise, institution, organisation, opportunity, transaction, investment, collaboration or commercial outcome.

8.6  Participants acknowledge and agree that any decision to communicate, engage, collaborate, transact, invest, contract, partner with or otherwise interact with any person or entity introduced, referred, profiled, featured, participating or associated with Global Legit shall be made solely at the participant’s own risk and responsibility.

8.7  Global Legit shall not be liable for any loss, damage, liability, claim, cost, expense, consequence or adverse outcome arising directly or indirectly from any reliance placed upon any information, communication, representation, statement, publication, presentation, discussion, introduction, opportunity or engagement made available by or through Global Legit.

8.8  The mere organisation, facilitation, promotion, hosting, support, publication, profiling, introduction, participation or presentation of any person, enterprise, institution, organisation, product, service, opportunity, initiative or activity by or through Global Legit shall not constitute or imply any endorsement, recommendation, verification, certification, approval or validation thereof.

8.9 By participating in or engaging with Global Legit, each participant expressly acknowledges and agrees that the participant has not relied, and shall not rely, upon any statement, representation, warranty, assurance, commitment or expectation other than those expressly set out in a written document executed by a duly authorised representative of Global Legit.

Clause 9 – No Professional Advice Disclaimer

9.1 Nothing contained in, arising from or made available through any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, communication, discussion, presentation, meeting, networking engagement or commercial ecosystem of Global Legit shall constitute or be construed as legal, financial, investment, tax, accounting, regulatory, compliance, commercial, business, technical or other professional advice.

9.2 Any information, communication, publication, presentation, discussion, statement, material, opinion, observation, commentary or content made available by or through Global Legit is provided solely for general informational, educational, networking, facilitative or discussion purposes and shall not be regarded as professional advice or a substitute for obtaining independent professional advice.

9.3 Global Legit does not provide, undertake or assume responsibility for providing professional advice to any participant unless expressly agreed in writing pursuant to a separate written engagement executed by a duly authorised representative of Global Legit.

9.4 No communication, interaction, meeting, discussion, correspondence, publication, presentation, introduction, facilitation activity or engagement involving Global Legit shall create or be deemed to create any advocate-client, attorney-client, solicitor-client, consultant-client, advisor-client, fiduciary, professional-retainer or other professional relationship.

9.5  Participants are solely responsible for obtaining such independent legal, financial, investment, tax, accounting, regulatory, compliance, commercial, technical or other professional advice as they consider necessary or appropriate in relation to their particular circumstances, objectives, activities, transactions, investments, engagements or decisions.

9.6  Global Legit does not represent, warrant, certify, endorse or guarantee the accuracy, suitability, adequacy, completeness, reliability or appropriateness of any professional opinion, advice, statement, recommendation, analysis or information provided by any speaker, panellist, moderator, participant, sponsor, exhibitor, advisor, consultant, service provider or other third party.

9.7  Any views, opinions, comments, statements, analyses, recommendations or observations expressed by speakers, panellists, moderators, participants, sponsors, exhibitors, advisors, consultants or other third parties are solely their own and shall not be attributed to, interpreted as, or deemed to represent the views, opinions, positions or recommendations of Global Legit unless expressly stated otherwise in writing.

9.8  Global Legit shall not be liable for any loss, damage, liability, claim, cost, expense or consequence arising directly or indirectly from any reliance upon or use of any information, communication, publication, presentation, discussion, opinion, recommendation or content made available by or through Global Legit.

9.9  Participants acknowledge and agree that all decisions, actions, transactions, investments, engagements, arrangements and courses of conduct undertaken by them shall be based upon their own independent judgment and, where appropriate, independent professional advice obtained from suitably qualified professionals.

9.10 By participating in or engaging with Global Legit, each participant expressly acknowledges and agrees that Global Legit is not acting, and shall not be deemed to be acting, as a legal advisor, financial advisor, investment advisor, tax advisor, consultant, fiduciary or other professional advisor to any participant.

Clause 10 – Programme and Event Disclaimer

10.1 Global Legit reserves the right, at its sole discretion and without incurring any liability, to design, organise, administer, facilitate, promote, modify, supplement, restructure, suspend, postpone, relocate, substitute, discontinue or cancel any process, programme, initiative, service, platform, publication, event, summit, conference, forum, session, activity or engagement, in whole or in part, at any time.

10.2 Global Legit reserves the right to modify, revise, supplement or withdraw any agenda, schedule, programme structure, format, venue, session, activity, topic, content, feature, arrangement or participation requirement without prior notice.

10.3 1 Global Legit reserves the right to invite, nominate, approve, reject, remove, replace, substitute, suspend or otherwise regulate the participation of any speaker, panellist, moderator, participant, delegate, sponsor, exhibitor, advisor, consultant, service provider or other person involved in any activity conducted by or through Global Legit.

10.4 Participation in any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity conducted by or through Global Legit does not create any right, entitlement, expectation, guarantee or assurance regarding attendance, participation, speaking opportunities, networking opportunities, introductions, profiling, recognition, accreditation, certification, commercial opportunities, investment opportunities or any particular outcome.

10.5 Global Legit does not represent, warrant or guarantee the availability, continuity, quality, success, attendance, participation level, commercial value, investment value, networking value, educational value or outcome of any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity.

10.6 Global Legit may, in its sole discretion, determine the manner, format, timing, sequence, content, administration and operational arrangements of any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity and may alter the same at any time.

10.7 Global Legit shall not be responsible for the absence, withdrawal, cancellation, non-appearance, unavailability, conduct, statements, representations, actions or omissions of any speaker, panellist, moderator, participant, delegate, sponsor, exhibitor, advisor, consultant, service provider or other third party.

10.8 Global Legit does not guarantee that any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity will meet the expectations, objectives, requirements, preferences or anticipated outcomes of any participant.

10.9 Global Legit shall not be liable for any loss, damage, cost, expense, liability, inconvenience, disruption, disappointment, missed opportunity or other consequence arising directly or indirectly from any modification, postponement, suspension, cancellation, substitution, disruption, technical issue, operational decision or other circumstance affecting any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity.

10.10 Nothing contained in any announcement, invitation, publication, communication, promotional material, programme document or activity conducted by or through Global Legit shall be construed as creating any commitment, guarantee, warranty, representation or obligation regarding the occurrence, continuation, availability, content, quality or outcome of any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity.

10.11 All decisions relating to the organisation, administration, facilitation, conduct, modification, postponement, suspension, restructuring or cancellation of any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity shall remain within the sole discretion of Global Legit.

10.12 By participating in or engaging with any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity conducted by or through Global Legit, each participant acknowledges and accepts the nature, scope and limitations set out in this Clause.

Clause 11 – Investment, Commercial and Business Engagement Disclaimer

11.1Global Legit may organise, facilitate, host, promote, support or administer processes, programmes, initiatives, platforms, publications, events, summits, conferences, forums, networking activities, profiling exercises, introductions, commercial ecosystems and other activities that may involve enterprises, investors, institutions, organisations, sponsors, partners, service providers and other participants; however, Global Legit does not act as an investment advisor, financial intermediary, broker, dealer, merchant banker, placement agent, fund manager, valuation expert, transaction advisor or guarantor unless expressly agreed in writing through a separate written engagement.

11.1  Nothing contained in or arising from any process, programme, initiative, service, platform, publication, event, summit, conference, forum, communication, presentation, discussion, introduction, profiling activity, networking engagement or other activity conducted by or through Global Legit shall constitute or be construed as an offer, solicitation, recommendation, endorsement, certification, verification, approval or invitation to invest, divest, lend, borrow, acquire, dispose of, transact, collaborate or enter into any commercial, financial, investment or business arrangement.

11.2 Global Legit does not represent, warrant, guarantee, certify, verify, endorse or assure the accuracy, completeness, reliability, legality, financial standing, commercial viability, investment suitability, creditworthiness, capability, competence, performance, prospects, valuation, reputation or legitimacy of any participant, enterprise, investor, institution, organisation, sponsor, partner, service provider, opportunity, project, product, service or transaction.

11.3 Any profiling, listing, publication, introduction, presentation, participation, networking activity, showcase, recognition, nomination, assessment, evaluation, facilitation, referral or inclusion within any activity conducted by or through Global Legit shall not constitute or imply any endorsement, recommendation, certification, accreditation, approval, validation or verification by Global Legit.

11.4 Global Legit does not guarantee the availability, suitability, quality, success, completion or outcome of any investment opportunity, commercial engagement, business arrangement, partnership, collaboration, transaction, funding activity, fundraising effort, strategic alliance, acquisition, merger, joint venture or other commercial relationship.

11.5 Participants shall be solely responsible for conducting their own independent enquiries, assessments, investigations, analyses, verifications and due diligence in relation to any person, enterprise, institution, organisation, opportunity, project, transaction, investment, collaboration or commercial arrangement.

11.6 Any decision to invest, fund, transact, collaborate, contract, partner, acquire, dispose of assets, provide services, enter into negotiations or otherwise engage with any participant or third party shall be made solely at the participant’s own risk, discretion and responsibility.

11.7 Global Legit shall not be responsible for and shall have no liability in relation to any negotiations, discussions, arrangements, understandings, agreements, transactions, disputes, defaults, misrepresentations, omissions, breaches, failures, losses or liabilities arising between participants or third parties.

11.8 Global Legit does not undertake any obligation to monitor, supervise, investigate, verify, evaluate, enforce or ensure the performance, compliance, solvency, conduct, good faith, capability or fulfilment of obligations by any participant or third party.

11.9 No participant shall be entitled to assert or claim that Global Legit has recommended, endorsed, approved, certified, verified, guaranteed or assured any investment, transaction, commercial opportunity, business arrangement, enterprise, investor, institution, organisation, project, product, service or outcome unless expressly stated in a written document issued by a duly authorised representative of Global Legit.

11.10 Global Legit shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, commercial, financial, investment, reputational or other loss, damage, liability, claim, cost or expense arising directly or indirectly from any investment activity, commercial engagement, business relationship, transaction, opportunity, introduction, referral, profiling activity, participation or engagement associated with Global Legit.

11.11 By participating in or engaging with any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity conducted by or through Global Legit, each participant acknowledges and agrees that all investment, commercial and business decisions are undertaken independently and at the participant’s sole risk and responsibility.

Clause 12 – Third-Party Disclaimer

12.1  Global Legit may, from time to time, engage with, facilitate, host, support, promote, coordinate, collaborate with or otherwise involve third parties, including participants, delegates, speakers, panellists, moderators, sponsors, exhibitors, enterprises, investors, institutions, organisations, partners, consultants, advisors, service providers, vendors and other persons or entities in connection with its processes, programmes, initiatives, services, platforms, publications, events, summits, conferences, forums, activities and commercial ecosystems.

12.2 All third parties participating in, associated with or involved in any activity conducted by or through Global Legit shall act independently and on their own behalf unless expressly stated otherwise in writing by Global Legit.

12.3 Global Legit does not own, control, manage, supervise or assume responsibility for the actions, omissions, conduct, representations, statements, opinions, advice, products, services, opportunities, commitments, performance, compliance or activities of any third party.

12.4  The participation, attendance, involvement, profiling, listing, introduction, presentation, sponsorship, exhibition, publication, recognition, nomination, engagement or association of any third party with Global Legit shall not constitute or imply any endorsement, recommendation, certification, accreditation, verification, approval, validation, guarantee or assurance by Global Legit.

12.5  Any information, communication, publication, presentation, statement, opinion, advice, representation, material, product, service or opportunity provided by a third party shall be solely attributable to such third party, and Global Legit shall not be responsible for its accuracy, completeness, reliability, legality, suitability, availability or performance.

12.6  Global Legit does not represent, warrant, guarantee or assure the identity, authority, qualifications, competence, experience, financial standing, commercial standing, legal standing, reputation, capability, legitimacy, performance, intentions or suitability of any third party.

12.7  Any communication, discussion, interaction, introduction, negotiation, arrangement, transaction, collaboration, investment activity, commercial engagement, contractual relationship or other dealing between a participant and a third party shall be undertaken solely at the participant’s own discretion, risk and responsibility.

12.8  Global Legit shall not be a party to, nor shall it assume any responsibility, obligation or liability in relation to, any agreement, understanding, arrangement, transaction, relationship, dispute, claim, breach, default, loss or liability arising between participants and third parties.

12.9  Global Legit shall not be liable for any act, omission, negligence, misconduct, fraud, misrepresentation, breach of obligation, failure of performance, insolvency, unavailability, interruption or other conduct of any third party.

12.10  Global Legit shall not be responsible for monitoring, investigating, verifying, validating, auditing, supervising or enforcing the conduct, representations, obligations, performance or compliance of any third party unless expressly stated otherwise in writing.

12.11  Participants are solely responsible for conducting their own independent enquiries, assessments, verifications, investigations and due diligence before relying upon, engaging with, transacting with or otherwise interacting with any third party.

12.12  To the fullest extent permitted by applicable law, Global Legit shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, commercial, financial, reputational or other loss, damage, liability, claim, cost or expense arising directly or indirectly from any act, omission, representation, statement, conduct, product, service, opportunity, engagement or transaction involving any third party.

12.13  By participating in or engaging with any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity conducted by or through Global Legit, each participant acknowledges and accepts the independent status of third parties and the limitations of Global Legit’s role and responsibility as set out in this Clause.

Clause 13 – Participant Representations and Responsibilities

13.1 By accessing, registering for, participating in, attending, contributing to or otherwise engaging with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem of Global Legit, each participant represents, warrants and acknowledges that the participant has the legal capacity, authority and right to undertake such participation or engagement.

13.2 Each participant represents and warrants that all information, data, documents, materials, declarations, submissions, communications and other content provided by or on behalf of the participant are, to the best of the participant’s knowledge and belief, true, accurate, complete, lawful and not misleading in any material respect.

13.3 Each participant shall be solely responsible for ensuring the accuracy, completeness, legality, validity and appropriateness of all information, materials, communications and representations submitted, shared, disclosed or otherwise made available by or on behalf of the participant.

13.4 Each participant shall comply with all applicable laws, regulations, governmental requirements, policies, guidelines, codes of conduct, rules, procedures and reasonable directions that may be applicable to the participant’s participation, conduct or engagement.

13.5 Participants shall conduct themselves in a lawful, responsible, professional and respectful manner and shall refrain from any conduct that may disrupt, interfere with, undermine, compromise or adversely affect any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, participant or third party.

13.6 Each participant shall be solely responsible for all decisions, actions, omissions, communications, representations, disclosures, commitments, arrangements, transactions and engagements undertaken by or on behalf of the participant.

13.7 Participants shall be responsible for maintaining the confidentiality, security and integrity of their own information, communications, credentials, devices, records and materials and for taking appropriate measures to safeguard the same.

13.8 Each participant shall be solely responsible for conducting such enquiries, assessments, investigations, verifications and due diligence as the participant considers necessary before relying upon, engaging with, communicating with, contracting with, investing in or otherwise interacting with any person, enterprise, institution, organisation, opportunity, product, service or third party.

13.9 Participants shall not represent, imply, suggest or create any impression that they are authorised to act for, represent, bind, speak on behalf of or otherwise act as an agent, representative, partner or spokesperson of Global Legit unless expressly authorised in writing by a duly authorised representative of Global Legit.

13.10 Each participant shall be responsible for obtaining and maintaining any approvals, licences, permissions, consents, authorisations, registrations or qualifications required in connection with the participant’s activities, representations, products, services, investments, transactions or engagements.

13.11 Participants shall not submit, publish, transmit, distribute or otherwise make available any information, material, communication or content that is unlawful, misleading, fraudulent, defamatory, infringing, offensive, harmful, malicious or otherwise in violation of applicable law or the rights of any person.

13.12 Participants acknowledge and agree that Global Legit may rely upon information, declarations, representations, warranties, documents and communications provided by participants without undertaking any obligation to independently verify or validate the same.

13.13 Participants shall promptly cooperate with any reasonable request made by Global Legit in connection with the administration, management, operation, compliance, security or integrity of any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity.

13.14 Any breach of this Disclaimer, applicable law, applicable policies, programme requirements or reasonable directions issued by Global Legit may result in refusal, suspension, restriction or termination of participation, access, engagement or involvement, without prejudice to any other rights or remedies available to Global Legit.

13.15 By participating in or engaging with Global Legit, each participant acknowledges and accepts the responsibilities, obligations and limitations applicable to the participant under this Disclaimer and assumes full responsibility for the participant’s own conduct, decisions and engagements.

13.16 Participants shall conduct themselves in a lawful, responsible and professional manner and shall refrain from engaging in any act, omission, communication, representation, activity or conduct that may disrupt, undermine, prejudice, compromise or adversely affect international relations, diplomatic relations, governmental relations, regulatory relations, institutional relations, investor relations, investment ecosystem relations, enterprise relations, industry relations, commercial relations, trade relations, academic relations, stakeholder relations, public-private engagement, policy dialogue, policymaker engagement, cross-border cooperation, international collaboration, strategic partnerships, public confidence, stakeholder confidence, market confidence or the legitimate interests, reputation, operations, objectives or activities of Global Legit, its affiliates, participants, investors, institutions, organisations, enterprises, governmental bodies, regulatory authorities, policy makers or other stakeholders.

Clause 14 – Intellectual Property Disclaimer

14.1 All intellectual property rights, proprietary rights and related interests in or relating to any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, commercial ecosystem, document, publication, content, material, communication, presentation, recording, design, branding, logo, trademark, service mark, trade name, methodology, framework, database, compilation, software, technology, audiovisual material or other work made available by or through Global Legit shall remain vested in and belong to Global Legit and/or the respective rights holder, unless expressly stated otherwise in writing.

14.2 Nothing contained in any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, communication or engagement conducted by or through Global Legit shall be construed as granting, transferring, assigning, licensing, waiving or otherwise conferring any intellectual property right, proprietary interest or entitlement in favour of any participant except to the extent expressly authorised in writing by Global Legit or the relevant rights holder.

14.3 Participants shall not, without prior written authorisation from the relevant rights holder, reproduce, copy, record, distribute, publish, transmit, display, adapt, modify, translate, extract, compile, commercialise, exploit, reverse engineer, create derivative works from or otherwise use any intellectual property, content, material or proprietary information made available by or through Global Legit beyond the scope permitted by applicable law or such authorisation.

14.4 Ownership and Use of Submitted Materials

14.4.1 Unless expressly agreed otherwise in writing by Global Legit, any application, registration, nomination, profile, biography, abstract, article, report, publication, presentation, communication, photograph, audiovisual material, recording, submission, document, content, information, data, material or other item submitted, disclosed, communicated or otherwise made available by or on behalf of a participant in connection with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem of Global Legit may be used, reproduced, published, displayed, distributed, communicated, archived, stored, catalogued, recorded, translated, adapted, compiled, incorporated, referenced, promoted, publicised, facilitated and otherwise utilised by Global Legit for its institutional, administrative, operational, promotional, educational, archival, research, publication, reporting, documentation, facilitation, commercial and other lawful purposes.

14.4.2 The rights granted under this Clause shall be perpetual, irrevocable, worldwide, royalty-free and shall apply for past, present and future purposes and uses of Global Legit, including its affiliates, subsidiaries, associate entities, divisions, verticals, forums, publications, processes, programmes, initiatives, platforms and commercial ecosystems.

14.4.3 Each participant acknowledges and agrees that Global Legit may require, request, collect, receive, process, store, record, archive, verify, reproduce, publish, communicate, disclose, circulate, compile, categorise, analyse, utilise and otherwise deal with such information, materials, content, records, documents, data, intellectual property references, brand-related information, copyright materials, patent-related information, proprietary information and other submissions as Global Legit may consider necessary, appropriate, relevant or desirable, at its sole and absolute discretion, for the purposes of administration, participation, registration, onboarding, profiling, assessment, evaluation, facilitation, networking, publication, promotion, publicity, documentation, reporting, record-keeping, archiving, institutional activities, commercial activities, stakeholder engagement, investor engagement, enterprise engagement, governmental engagement, diplomatic engagement, policy engagement, regulatory compliance, due diligence, knowledge management, historical preservation and any past, present or future process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem conducted by or through Global Legit.

14.4.4 To the fullest extent permitted by applicable law, participants grant and shall be deemed to have granted all necessary permissions, consents, licences and authorisations required for Global Legit to exercise the rights contemplated under this Clause without further approval, notification, acknowledgement or compensation.

14.4.5 For the avoidance of doubt, this Clause may extend to materials containing or referring to trademarks, service marks, trade names, brands, logos, copyrighted materials, proprietary content, publications, patent-related information, technologies, methodologies and other intellectual property submitted or made available by a participant for the purposes of engagement with Global Legit; provided, however, that ownership of such intellectual property shall remain with the relevant rights holder unless expressly assigned in writing.

14.4.6 Nothing contained in this Clause shall be construed as transferring ownership of any pre-existing trademark, service mark, trade name, brand, logo, patent, patent right, industrial design, copyright, proprietary technology, software, source code, trade secret, confidential information, know-how, proprietary methodology, business system, proprietary process or other proprietary right belonging to any participant, enterprise or third party unless expressly agreed in writing by the relevant rights holder.

14.4.7 Any enterprise name, corporate identity, brand identity, trademark portfolio, patent portfolio, proprietary technology, copyrighted work, trade secret, confidential information, proprietary business model, proprietary process, know-how or other proprietary asset belonging to any participant, enterprise or third party shall remain the exclusive property of the relevant rights holder, and nothing contained in this Disclaimer shall be construed as creating any transfer, assignment, co-ownership or other proprietary interest in favour of Global Legit except to the extent expressly agreed in writing.

14.4.8 The inclusion, profiling, publication, presentation, exhibition, promotion, facilitation, listing, dissemination, discussion, reference or use of any material submitted by a participant shall not by itself affect the ownership of any pre-existing intellectual property or proprietary rights belonging to the relevant participant, enterprise or third party.

14.4.9 Global Legit reserves the right, without obligation, to edit, format, classify, categorise, compile, abridge, translate, adapt, reproduce, publish, distribute, archive, store, record, digitise, incorporate or otherwise process materials submitted for the purposes of any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem, provided that such actions shall not by themselves affect the ownership of any pre-existing intellectual property rights preserved under this Clause.

14.5 The participation, presentation, publication, profiling, listing, exhibition, sponsorship, promotion, facilitation, introduction or inclusion of any person, enterprise, institution, organisation, product, service, publication, technology or other subject matter within any activity conducted by or through Global Legit shall not constitute or imply any transfer, assignment, endorsement, certification, validation or approval of any intellectual property rights or proprietary interests.

14.6 Participants represent and warrant that they possess all necessary rights, permissions, licences, consents and authorisations in respect of any information, material, content, publication, presentation, document, trademark, logo, image, recording, data or other material submitted, displayed, distributed, communicated or otherwise made available by them and that such use does not infringe the rights of any person.

14.7 Participants shall remain solely responsible for any intellectual property, content, material, publication, presentation, communication, submission or other work provided, published, displayed, distributed or otherwise made available by them and for ensuring that the same complies with applicable law and does not infringe or violate the rights of any person.

14.8 Global Legit does not undertake any obligation to investigate, verify, validate, monitor, supervise or determine the ownership, validity, enforceability, originality, authenticity or non-infringing nature of any intellectual property, proprietary material, content or rights belonging to any participant or third party.

14.9 To the fullest extent permitted by applicable law, Global Legit shall not be liable for any claim, dispute, infringement allegation, loss, damage, liability, cost or expense arising directly or indirectly from the ownership, use, publication, distribution, licensing, disclosure, exploitation or alleged infringement of any intellectual property or proprietary right by any participant or third party.

14.10 Global Legit reserves the right, without obligation, to remove, restrict, refuse, suspend, discontinue or take such action as it considers appropriate in relation to any material, content, publication, presentation, communication or activity that it reasonably believes may infringe intellectual property rights, proprietary rights or other legal rights.

14.11 Nothing contained in any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or engagement conducted by or through Global Legit shall be construed as creating any ownership, co-ownership, partnership, joint authorship, licence, assignment, fiduciary relationship or other proprietary interest in favour of any participant unless expressly agreed in writing by the relevant rights holder.

14.12 By participating in or engaging with Global Legit, each participant acknowledges and agrees to respect the intellectual property rights, proprietary rights and legitimate interests of Global Legit and all other rights holders and to comply with all applicable laws relating to intellectual property and proprietary rights.

Clause 15  -  Privacy and Data Disclaimer

15.1 Global Legit may collect, receive, process, store, use, analyse, disclose, transfer, retain and otherwise handle personal information, business information, professional information, organisational information, communication records, registration details, participation details, submissions, documents, materials, preferences, engagement records and other data provided by or relating to participants, enterprises, institutions, organisations, partners, sponsors, service providers and other stakeholders in connection with its processes, programmes, initiatives, services, platforms, publications, events, summits, conferences, forums, activities and commercial ecosystems.

15.2 Any collection, processing, storage, use, disclosure or handling of information by Global Legit shall be undertaken for lawful purposes, including but not limited to administration, registration, onboarding, participation management, communication, coordination, facilitation, profiling, networking, publication, documentation, reporting, institutional activities, stakeholder engagement, investor engagement, enterprise engagement, regulatory compliance, security, due diligence, record-keeping, knowledge management, research, analysis, promotion and other legitimate organisational purposes.

15.3 Participants acknowledge and agree that by accessing, registering for, participating in or engaging with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem of Global Legit, they may provide or make available certain information and consent to the collection, processing, storage, use and handling of such information in accordance with this Disclaimer and applicable law.

15.4 Global Legit may communicate with participants through various channels, including but not limited to email, telephone, messaging platforms, digital platforms, online systems, social media platforms, websites, applications, correspondence and other communication mechanisms for purposes relating to participation, engagement, updates, announcements, opportunities, publications, events, activities, initiatives and institutional communications.

15.5 Global Legit may use, reproduce, publish, display, communicate, circulate, archive, document, analyse, compile, categorise and otherwise process information, photographs, recordings, profiles, biographies, submissions, participation details, professional information, organisational information and other materials provided or made available by participants for lawful institutional, administrative, promotional, educational, archival, research, publication, reporting, documentation and engagement purposes.

15.6 Participants acknowledge and agree that certain information relating to their participation, profile, organisation, professional background, submissions, achievements, involvement, contributions, presentations or engagement may be published, displayed, circulated or otherwise made available by or through Global Legit, including through publications, platforms, websites, social media channels, reports, promotional materials, event-related communications and other institutional channels.

15.7 Global Legit may share, disclose or provide access to information with its affiliates, subsidiaries, associate entities, divisions, partners, service providers, technology providers, consultants, advisors, contractors, event collaborators, institutional partners and other authorised persons or entities where such disclosure is reasonably required for administration, operation, facilitation, compliance, communication, security or legitimate organisational purposes.

15.8 Global Legit shall take reasonable measures to protect information under its control; however, Global Legit does not guarantee that any information, communication system, digital platform, database, technology infrastructure or transmission mechanism will be completely secure, uninterrupted, error-free or immune from unauthorised access, technical failures, cyber incidents, data loss or other risks.

15.9 Participants are solely responsible for ensuring that information, documents, materials, submissions, communications, personal data, organisational data and other content provided by them to Global Legit are accurate, lawful, authorised, appropriate and not in violation of any privacy rights, confidentiality obligations, contractual obligations or applicable laws.

15.10 Participants acknowledge and agree that Global Legit shall not be responsible for any information, data or materials provided by participants or third parties, including any inaccuracies, omissions, unauthorised disclosures, privacy violations, confidentiality breaches or legal consequences arising from such information.

15.11 Participants shall not provide, upload, submit, disclose or otherwise make available any personal information, confidential information, proprietary information or third-party data to Global Legit unless they possess all necessary rights, permissions, consents and authorisations required for such disclosure and processing.

15.12 Global Legit may retain information for such period as it considers necessary or appropriate for legitimate organisational purposes, including record-keeping, compliance, archival, institutional history, documentation, knowledge management, dispute management, legal protection and operational requirements.

15.13 Participants acknowledge and agree that participation in or engagement with Global Legit may involve the use of third-party platforms, technologies, applications, communication systems, service providers or digital infrastructure, and Global Legit shall not be responsible for the privacy practices, security measures, policies or conduct of such third parties.

15.14 Global Legit shall not be liable for any loss, damage, liability, claim, cost, expense, consequence or adverse outcome arising directly or indirectly from the collection, processing, storage, use, disclosure, transfer, publication, communication, retention or handling of information in accordance with this Disclaimer and applicable law.

15.15 Participants shall promptly notify Global Legit of any concern, request, correction, objection or issue relating to their information, subject to applicable law and the operational requirements of Global Legit.

15.16 By participating in or engaging with Global Legit, each participant acknowledges and accepts the collection, processing, use, storage, disclosure and handling of information as contemplated under this Clause and acknowledges the responsibilities and limitations applicable to privacy and data management in connection with such participation or engagement.

Clause 16 – Media, Recording and Publicity Disclaimer

16.1 Global Legit may, in connection with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem, undertake, facilitate, permit, authorise or arrange photography, videography, audio recording, visual recording, digital recording, live streaming, broadcasting, publication, documentation, reporting, archival recording, promotional activities and other media-related activities.

16.2 By accessing, registering for, participating in, attending, contributing to or otherwise engaging with any activity conducted by or through Global Legit, each participant acknowledges and agrees that the participant may be photographed, recorded, filmed, interviewed, featured, quoted, profiled, documented or otherwise captured through audio, visual, digital or other media formats.

16.3 Participants grant and shall be deemed to have granted Global Legit the right, permission and authorisation to capture, record, reproduce, publish, display, communicate, distribute, transmit, archive, store, edit, adapt, modify, compile, translate, use and otherwise utilise photographs, images, videos, audio recordings, statements, interviews, comments, profiles, biographies, participation details, contributions and other media materials relating to the participant for institutional, administrative, operational, educational, promotional, publicity, publication, reporting, archival, research, documentation, marketing, stakeholder engagement and other lawful purposes.

16.4 The rights granted under this Clause shall be worldwide, perpetual, irrevocable, royalty-free and shall extend to Global Legit, its affiliates, subsidiaries, associate entities, divisions, verticals, publications, platforms, partners, collaborators, representatives, service providers and authorised persons or entities.

16.5 Participants acknowledge and agree that Global Legit may use their name, designation, professional information, organisational affiliation, profile information, photographs, recordings, statements, contributions and other participation-related details in connection with publicity, publications, announcements, reports, social media communications, websites, digital platforms, promotional materials, institutional communications and other activities of Global Legit.

16.6 Participants shall not be entitled to any compensation, royalty, payment, consideration, ownership interest or other entitlement arising from the use, publication, distribution, display, communication or exploitation of any media material created, captured or utilised by or on behalf of Global Legit pursuant to this Clause, unless expressly agreed otherwise in writing.

16.7 Global Legit may edit, modify, reproduce, adapt, format, combine, compile, contextualise, translate, publish or otherwise process any media material captured in connection with its activities, provided that such use shall not constitute an express endorsement, recommendation, certification or representation by Global Legit regarding any participant, enterprise, institution, organisation, product, service, opportunity or activity.

16.8 Participants acknowledge and agree that participation, attendance, presentation, speaking, contribution, recognition, profiling or appearance in any media, publication, recording or publicity material of Global Legit shall not create any right, entitlement, expectation, guarantee or assurance regarding continued visibility, future publication, promotion, recognition or any particular outcome.

16.9 Global Legit may engage third-party photographers, videographers, media agencies, technology providers, platforms, broadcasters, publishers or service providers for the purposes of recording, documenting, publishing, distributing or managing media-related activities, and Global Legit shall not be responsible for the independent practices, policies or conduct of such third parties.

16.10 Participants are solely responsible for ensuring that any statements, materials, presentations, content, images, recordings, submissions or other information provided by them for publication, recording or publicity purposes do not violate any confidentiality obligation, intellectual property right, privacy right, contractual obligation or applicable law.

16.11 Global Legit does not guarantee that any photograph, recording, publication, media content, publicity material, broadcast, communication or other media output will be published, distributed, retained, displayed, promoted or made available for any particular duration or through any particular channel.

16.12 Global Legit shall not be liable for any loss, damage, liability, claim, cost, expense, inconvenience or consequence arising directly or indirectly from the creation, use, publication, distribution, transmission, recording, reproduction, modification or availability of any media material relating to any participant or activity.

16.13 Nothing contained in any photograph, recording, publication, communication, media material, promotional content or publicity activity of Global Legit shall be construed as creating any partnership, endorsement, certification, approval, sponsorship, affiliation, representation or commercial relationship unless expressly confirmed in writing by a duly authorised representative of Global Legit.

16.14 By participating in or engaging with Global Legit, each participant acknowledges and accepts the media, recording and publicity practices contemplated under this Clause and consents to the use of relevant media materials in accordance with the purposes and limitations set out herein.

Clause 17 – Limitation of Liability

17.1 To the fullest extent permitted by applicable law, Global Legit, its affiliates, subsidiaries, associate entities, divisions, representatives, officers, employees, consultants, advisors, contractors, partners, service providers and other associated persons or entities shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, statutory or other loss, damage, liability, claim, cost, expense or consequence arising out of or in connection with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, commercial ecosystem or engagement conducted by or through Global Legit.

17.2 Without limiting the generality of the foregoing, Global Legit shall not be liable for any loss, damage, liability, claim, cost, expense or consequence arising from or relating to:

(a) any information, communication, publication, statement, representation, material, content or document made available by or through Global Legit;

(b) any reliance placed by any participant upon any information, opportunity, introduction, discussion, presentation, communication or engagement;

(c) any decision, action, omission, transaction, investment, collaboration, arrangement, relationship or course of conduct undertaken by any participant or third party;

(d) any participation, non-participation, attendance, absence, withdrawal, suspension, postponement, modification, cancellation or discontinuation of any process, programme, initiative, service, platform, publication, event, summit, conference, forum or activity;

(e) any act, omission, negligence, misconduct, breach, default, representation, statement, conduct, product, service, opportunity or obligation of any participant or third party;

(f) any technical failure, interruption, delay, error, unavailability, security incident, cyber incident, data loss or operational disruption affecting any platform, system, communication channel or service;

(g) any intellectual property claim, privacy claim, confidentiality issue, regulatory issue, contractual dispute or other legal matter involving participants or third parties.

17.3 Global Legit does not assume any responsibility, duty or obligation to monitor, supervise, verify, investigate, validate, certify, endorse, guarantee or control the conduct, performance, capability, legality, compliance, financial standing, commercial viability or activities of any participant, enterprise, institution, organisation, investor, partner, sponsor, service provider or third party.

17.4 Participants acknowledge and agree that their participation in, access to or engagement with Global Legit’s processes, programmes, initiatives, services, platforms, publications, events, summits, conferences, forums, activities or commercial ecosystems is undertaken voluntarily and at their own discretion, judgment and risk.

17.5 No communication, publication, presentation, discussion, introduction, facilitation, networking activity, profiling activity, participation opportunity or engagement conducted by or through Global Legit shall be construed as creating any guarantee, warranty, assurance, representation, obligation, fiduciary duty or contractual commitment unless expressly agreed in writing by a duly authorised representative of Global Legit.

17.6 To the maximum extent permitted by applicable law, any liability of Global Legit arising in connection with this Disclaimer, any engagement, participation or activity conducted by or through Global Legit shall be limited to the extent expressly agreed in writing under a separate written agreement executed by a duly authorised representative of Global Legit.

17.7 Participants acknowledge that Global Legit acts as a facilitator, platform provider, institutional ecosystem participant and knowledge or engagement facilitator and not as a guarantor, insurer, investment provider, transaction assurer, intermediary, professional advisor or representative of any participant or third party unless expressly agreed in writing.

17.8 Participants shall be solely responsible for assessing risks, conducting independent due diligence, obtaining professional advice where required and making their own decisions regarding any engagement, transaction, investment, collaboration, relationship or activity associated with Global Legit.

17.9 The exclusions and limitations contained in this Clause shall apply irrespective of the legal basis of any claim, including contract, tort, negligence, statutory liability, equity, restitution, indemnity or any other legal theory, to the fullest extent permitted by applicable law.

17.10 By participating in or engaging with Global Legit, each participant acknowledges and accepts the limitations of liability set out in this Clause and agrees that such limitations form an essential basis of participation and engagement with Global Legit.

Clause 18 – Indemnity

18.1 Each participant agrees to indemnify, defend and hold harmless Global Legit, its affiliates, subsidiaries, associate entities, divisions, officers, directors, employees, representatives, consultants, advisors, contractors, partners, service providers and other associated persons or entities (collectively, the “Indemnified Parties”) from and against any and all losses, damages, liabilities, claims, demands, actions, proceedings, costs, charges, expenses and consequences, including reasonable legal and professional expenses, arising directly or indirectly from or in connection with:

(a) any breach, violation or non-compliance by the participant with this Disclaimer, any applicable policy, guideline, requirement or instruction issued by Global Legit;

(b) any breach of applicable law, regulation, governmental requirement, contractual obligation, confidentiality obligation, intellectual property right, privacy right or other legal obligation by the participant;

(c) any inaccurate, incomplete, misleading, false or unauthorised information, statement, representation, document, material, submission, communication or content provided, submitted, published, disclosed or otherwise made available by or on behalf of the participant;

(d) any act, omission, negligence, misconduct, fraud, misrepresentation, unlawful conduct or wrongful activity of the participant;

(e) any transaction, investment, commercial engagement, business arrangement, collaboration, agreement, relationship or dealing entered into by the participant with any third party;

(f) any claim, dispute, allegation, proceeding or liability arising from the participant’s content, materials, submissions, presentations, publications, communications, intellectual property, trademarks, logos, documents or other information made available by the participant;

(g) any violation of the rights of any person, including intellectual property rights, privacy rights, confidentiality rights, contractual rights or proprietary rights.

18.2 The indemnity obligations contained in this Clause shall apply irrespective of whether the relevant loss, damage, liability, claim, demand, action, proceeding, cost or expense arises before, during or after the participant’s participation in or engagement with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem of Global Legit.

18.3 Global Legit shall have the right to seek indemnification under this Clause without being required to establish any fault, intention, negligence or misconduct on the part of the participant, to the extent such liability, loss, damage, claim or expense arises from the acts, omissions, representations, submissions, obligations or conduct of the participant.

18.4 The participant shall promptly notify and reasonably cooperate with Global Legit in relation to any claim, demand, action, proceeding, investigation or circumstance that may give rise to any indemnification obligation under this Clause.

18.5 Global Legit shall have the right, at its discretion, to participate in, control, defend, settle or otherwise manage any claim, proceeding or matter for which indemnification is sought under this Clause, and the participant shall provide reasonable assistance, cooperation and information as may be required.

18.6 The participant shall not settle, admit liability, compromise or agree to any claim involving any Indemnified Party without the prior written consent of Global Legit.

18.7 The indemnity provided under this Clause shall be in addition to and shall not limit, restrict or prejudice any other rights, remedies, claims or protections available to Global Legit under applicable law, contract, equity or otherwise.

18.8 Participants acknowledge and agree that their participation in or engagement with Global Legit’s processes, programmes, initiatives, services, platforms, publications, events, summits, conferences, forums, activities or commercial ecosystems is undertaken voluntarily and that the indemnity obligations contained herein constitute an essential condition of such participation and engagement.

18.9 The obligations contained in this Clause shall survive the completion, suspension, termination or discontinuation of any participation, engagement, programme, activity, service or relationship between Global Legit and the participant.

18.10 By participating in or engaging with Global Legit, each participant acknowledges and accepts responsibility for their own conduct, decisions, representations, submissions, activities and engagements and agrees to indemnify the Indemnified Parties in accordance with this Clause.

Clause 19 – Force Majeure

19.1 Global Legit shall not be liable for any failure, delay, interruption, suspension, restriction, modification, inability or omission in the performance, administration, facilitation, organisation, operation, conduct or provision of any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, commercial ecosystem or obligation where such failure, delay, interruption, suspension, restriction, modification, inability or omission arises directly or indirectly from a Force Majeure Event.

19.2 For the purposes of this Clause, a “Force Majeure Event” shall mean any event, circumstance, occurrence or condition beyond the reasonable control of Global Legit, whether foreseeable or unforeseeable, including but not limited to:

(a) acts of God;

(b) natural disasters, earthquakes, floods, storms, cyclones, hurricanes, tsunamis, droughts, fires or other environmental events;

(c) epidemics, pandemics, public health emergencies, disease outbreaks, quarantines or health-related restrictions;

(d) war, armed conflict, invasion, military action, terrorism, terrorist threats, sabotage, civil unrest, rebellion, insurrection, revolution or political instability;

(e) riots, strikes, lockouts, labour disputes, industrial actions or workforce disruptions;

(f) governmental actions, regulatory restrictions, sanctions, embargoes, export controls, travel restrictions, border closures, emergency measures or changes in law;

(g) failure, disruption or interruption of utilities, transportation systems, communication networks, internet services, data systems, digital infrastructure, cloud services, technology systems or telecommunications services;

(h) cyber incidents, cyberattacks, hacking incidents, malware attacks, ransomware attacks, data breaches or other technological disruptions;

(i) failures or defaults of third-party suppliers, contractors, service providers, venues, partners, collaborators or supporting entities;

(j) any other event, circumstance or condition beyond the reasonable control of Global Legit that materially affects its ability to perform, administer, facilitate, organise or conduct any activity.

19.3 Global Legit shall have the right, in its sole discretion and without incurring liability, to suspend, postpone, reschedule, relocate, modify, restructure, substitute, restrict, discontinue or cancel any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or engagement affected by a Force Majeure Event.

19.4 Global Legit shall not be required to compensate, reimburse or otherwise indemnify any participant, delegate, sponsor, exhibitor, partner, service provider, enterprise, institution, organisation or other person for any loss, damage, cost, expense, inconvenience, disruption, missed opportunity or consequence arising from a Force Majeure Event or from any action taken by Global Legit in response thereto.

19.5 Participants acknowledge and agree that Force Majeure Events may affect attendance, participation, scheduling, venue arrangements, travel arrangements, speaker availability, networking opportunities, technological access, programme delivery, commercial activities and other aspects of engagement, and that Global Legit shall not be responsible for any resulting consequences.

19.6 Global Legit may rely upon alternative arrangements, substitute platforms, virtual formats, hybrid formats, revised schedules, replacement speakers, modified programmes or other reasonable measures that it considers appropriate in response to a Force Majeure Event.

19.7 No failure, delay, interruption, suspension, restriction, modification or non-performance caused by a Force Majeure Event shall constitute a breach, default, violation or non-compliance by Global Legit of any obligation, representation, commitment or expectation arising in connection with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or engagement.

19.8 To the fullest extent permitted by applicable law, Global Legit shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, commercial, financial, reputational or other loss, damage, liability, claim, cost or expense arising directly or indirectly from any Force Majeure Event.

19.9 The determination of whether a Force Majeure Event exists and the measures required to address, manage or respond to such event shall remain within the reasonable discretion of Global Legit.

19.10 By participating in or engaging with Global Legit, each participant acknowledges and accepts the risks, limitations and consequences associated with Force Majeure Events and agrees that Global Legit shall be entitled to exercise the rights set out in this Clause.

Clause 20 – Reservation of Rights

20.1 Global Legit expressly reserves all rights, powers, authorities, discretions, privileges, protections and remedies available to it under this Disclaimer, applicable law, equity, contract or otherwise.

20.2 Without limiting the generality of the foregoing, Global Legit reserves the right, at its sole discretion and without incurring liability, to establish, amend, supplement, revise, interpret, implement, suspend, withdraw or replace any policy, procedure, guideline, framework, process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, requirement or operational arrangement associated with its activities.

20.3 Global Legit reserves the right to determine, regulate, approve, refuse, restrict, suspend, terminate, revoke or otherwise manage access to or participation in any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem conducted by or through Global Legit.

20.4 Global Legit reserves the right to establish, modify, apply, waive, enforce or interpret eligibility requirements, participation criteria, operational standards, codes of conduct, compliance requirements, administrative procedures and other conditions relating to participation or engagement.

20.5 Global Legit reserves the right to review, assess, evaluate, classify, profile, publish, withhold, remove, restrict, decline, suspend or discontinue any application, registration, nomination, submission, participation, publication, presentation, communication, profile, listing, activity or engagement where it considers such action appropriate.

20.6 Global Legit reserves the right to protect its institutional interests, operational integrity, commercial interests, intellectual property, reputation, goodwill, stakeholders, strategic objectives, programmes, platforms, publications and commercial ecosystems through any lawful means available to it.

20.7 No failure, delay, omission or partial exercise by Global Legit of any right, power, authority, discretion, privilege, protection or remedy shall constitute or be construed as a waiver of such right, power, authority, discretion, privilege, protection or remedy.

20.8 Any waiver, consent, approval, concession, relaxation, permission or indulgence granted by Global Legit on any occasion shall be limited to the specific matter and circumstances in respect of which it is granted and shall not constitute a continuing waiver or affect any future exercise of rights.

20.9 Global Legit reserves the right to investigate, review, assess and take such action as it considers appropriate in relation to any conduct, activity, communication, submission, participation, engagement or circumstance that may affect compliance, operational integrity, institutional interests, security, reputation or the legitimate interests of Global Legit or its stakeholders.

20.10 Global Legit reserves the right to amend, modify, supplement, update, expand, consolidate or otherwise revise this Disclaimer, in whole or in part, at any time and without prior notice, and any such revision may become effective upon publication, circulation, communication or implementation by Global Legit.

20.11 Participants are responsible for reviewing and familiarising themselves with the most current version of this Disclaimer and any related policies, guidelines, requirements or communications issued by Global Legit from time to time.

20.12 Nothing contained in this Disclaimer shall limit, restrict, prejudice or otherwise affect any rights, remedies, powers, protections or causes of action available to Global Legit under applicable law, equity, contract or otherwise.

20.13 The rights, powers, authorities, discretions, protections and remedies reserved by Global Legit under this Disclaimer shall be cumulative and may be exercised independently or concurrently and shall not exclude any other right, power, authority, discretion, protection or remedy available under applicable law or otherwise.

20.14 By participating in or engaging with Global Legit, each participant acknowledges and agrees that Global Legit retains the rights and discretions set out in this Clause and that the exercise or non-exercise of any such right shall remain within the sole discretion of Global Legit, subject to applicable law.

Clause 21 – Severability

21.1 If any provision, clause, sub-clause, sentence, phrase or part of this Disclaimer is determined, held, declared or adjudged by any court, tribunal, arbitral tribunal, regulatory authority or other competent authority to be invalid, illegal, unlawful, unenforceable, void or incapable of being enforced, whether in whole or in part, such provision shall, to the extent of such invalidity, illegality, unlawfulness or unenforceability, be deemed severed from this Disclaimer.

21.2 Any invalidity, illegality, unlawfulness, voidness or unenforceability affecting any provision of this Disclaimer shall not affect, impair, invalidate, prejudice or render unenforceable the remaining provisions of this Disclaimer, all of which shall continue in full force and effect to the fullest extent permitted by applicable law.

21.3 Where any provision of this Disclaimer is found to be invalid, illegal, unlawful, void or unenforceable in a particular jurisdiction, such finding shall not affect the validity, legality, lawfulness or enforceability of that provision in any other jurisdiction, nor shall it affect the validity, legality, lawfulness or enforceability of any other provision of this Disclaimer.

21.4 To the extent permitted by applicable law, any provision that is determined to be invalid, illegal, unlawful, void or unenforceable shall be interpreted, modified, limited or construed in a manner that most closely reflects the original intent, purpose and commercial effect of the provision while preserving its validity and enforceability.

21.5 If any provision cannot be modified, interpreted or limited in a manner that preserves its validity and enforceability, such provision shall be severed only to the minimum extent necessary, and the remainder of this Disclaimer shall continue in full force and effect.

21.6 The parties acknowledge and agree that each provision of this Disclaimer is separate, distinct and independent and that the validity, legality, lawfulness and enforceability of each provision has been considered independently of every other provision.

21.7 No determination that any provision of this Disclaimer is invalid, illegal, unlawful, void or unenforceable shall be construed as affecting the intent, operation, interpretation or enforceability of any remaining provision of this Disclaimer.

21.8 The continued validity and enforceability of the remaining provisions of this Disclaimer shall survive and remain unaffected notwithstanding any judicial, arbitral, administrative or regulatory determination affecting any individual provision.

21.9 To the fullest extent permitted by applicable law, this Disclaimer shall be construed and enforced so as to give maximum effect to the intentions reflected herein, notwithstanding the severance, modification or limitation of any provision.

21.10 By participating in or engaging with Global Legit, each participant acknowledges and agrees that the provisions of this Disclaimer are intended to operate independently and that any invalidity or unenforceability affecting one provision shall not affect the validity or enforceability of the remaining provisions.

Clause 22 – Survival

22.1 Notwithstanding the completion, conclusion, expiration, suspension, withdrawal, cancellation, discontinuation or termination of any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, commercial ecosystem, participation, registration, engagement, relationship or interaction involving Global Legit, the provisions of this Disclaimer which by their nature, purpose, intent or express terms are intended to survive shall remain in full force and effect.

22.2 Without limitation and to the fullest extent permitted by applicable law, the following provisions shall survive and continue to apply notwithstanding the completion, suspension, withdrawal, cancellation, discontinuation or termination of any participation, engagement or relationship with Global Legit:

(a) Information and Communications Disclaimer;

(b) Non-Reliance Disclaimer;

(c) No Professional Advice Disclaimer;

(d) Programme and Event Disclaimer;

(e) Investment, Commercial and Business Engagement Disclaimer;

(f) Third-Party Disclaimer;

(g) Participant Representations and Responsibilities;

(h) Intellectual Property Disclaimer;

(i) Privacy and Data Disclaimer;

(j) Media, Recording and Publicity Disclaimer;

(k) Limitation of Liability;

(l) Indemnity;

(m) Force Majeure;

(n) Reservation of Rights;

(o) Severability; and

(p) any other provision which by its nature is intended to survive.

22.3 Any rights, remedies, protections, immunities, exclusions, limitations, authorisations, permissions, licences, acknowledgements, consents, representations, warranties, obligations, indemnities or responsibilities arising under this Disclaimer shall continue to apply to the extent necessary to give full effect to their purpose and intent.

22.4 The survival of any provision under this Clause shall not be affected by the termination, expiry, withdrawal, suspension, discontinuation, modification or completion of any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or engagement conducted by or through Global Legit.

22.5 Any claim, dispute, investigation, inquiry, proceeding, liability, obligation, breach, loss, damage, cost, expense or matter arising before or after the cessation of participation or engagement may continue to be governed by the relevant provisions of this Disclaimer to the extent applicable.

22.6 Global Legit shall retain the benefit of all rights, protections, exclusions, limitations, reservations, authorisations, permissions and remedies contained in this Disclaimer notwithstanding the cessation of any participation, engagement, activity, programme or relationship.

22.7 Participants shall remain bound by all continuing obligations, responsibilities, representations, warranties, acknowledgements, indemnities, permissions, consents and restrictions that are intended to survive under this Disclaimer.

22.8 No completion, expiration, suspension, withdrawal, cancellation, discontinuation or termination of any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, participation or engagement shall be construed as releasing any participant from obligations or liabilities that accrued prior to such event.

22.9 The provisions of this Clause shall be interpreted broadly so as to preserve and give effect to the continuing operation of those provisions of this Disclaimer that are intended to remain effective beyond the end of any participation, engagement or relationship.

22.10 By participating in or engaging with Global Legit, each participant acknowledges and agrees that the rights, protections, obligations and provisions contemplated under this Disclaimer may continue to apply after the end of the participant’s involvement with Global Legit to the extent provided herein.

Clause 23 – Governing Law and Jurisdiction

23.1 This Disclaimer, and any participation in, access to, engagement with or involvement in any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem conducted by or through Global Legit, shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre ("DIFC"), without regard to any conflict of laws principles.

23.2 Any question relating to the validity, interpretation, construction, enforceability, operation, application, effect, performance, non-performance or termination of this Disclaimer shall be determined in accordance with the laws of the DIFC.

23.3 Participants acknowledge and agree that Global Legit conducts activities involving participants, enterprises, institutions, organisations and stakeholders from multiple jurisdictions and that the designation of DIFC law under this Clause is intended to promote legal certainty, consistency and administrative efficiency.

23.4 Subject to Clause 23.5, the courts of the Dubai International Financial Centre ("DIFC Courts") shall have exclusive jurisdiction to hear and determine any dispute, claim, controversy, proceeding or matter arising out of or in connection with this Disclaimer or any participation in, access to or engagement with Global Legit.

23.5 Global Legit reserves the right, at its sole discretion and without prejudice to any other rights or remedies available to it, to initiate, pursue, defend or participate in proceedings before any court, tribunal, regulatory authority, governmental authority, arbitral tribunal or other competent forum in any jurisdiction where such action is considered necessary or appropriate for the protection of its rights, interests, operations, assets, intellectual property, reputation, stakeholders or legitimate objectives.

23.6 Nothing contained in this Disclaimer shall prevent Global Legit from seeking interim, injunctive, protective, conservatory, equitable or other urgent relief before any court, tribunal or competent authority having jurisdiction, irrespective of the governing law or jurisdiction provisions contained herein.

23.7 Participants irrevocably submit to the jurisdiction of the DIFC Courts and waive, to the fullest extent permitted by applicable law, any objection based upon venue, forum non conveniens, lack of jurisdiction or any similar ground.

23.8 The commencement, conduct or conclusion of any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or engagement by or through Global Legit shall not be construed as creating any jurisdictional nexus with any jurisdiction other than as expressly provided in this Clause.

23.9 Where any applicable law mandates the jurisdiction of a particular court, tribunal, authority or forum, this Clause shall be interpreted and applied to the maximum extent permitted by such applicable law while preserving the intent and effect of the governing law and jurisdiction provisions contained herein.

23.10 By participating in or engaging with Global Legit, each participant acknowledges and agrees that the rights, obligations and legal relationships arising under or in connection with this Disclaimer shall be governed by the laws of the DIFC and shall be subject to the exclusive jurisdiction of the DIFC Courts.

Clause 24 - Acceptance and Acknowledgement

24.1 By accessing, visiting, registering for, participating in, attending, contributing to, communicating with, submitting information to, utilising, engaging with or otherwise interacting with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem conducted by or through Global Legit, each participant acknowledges that the participant has read, understood and accepted this Disclaimer.

24.2 Each participant acknowledges and agrees that participation in or engagement with Global Legit is voluntary and undertaken at the participant’s own discretion, judgment and responsibility.

24.3 Participants acknowledge and agree that this Disclaimer constitutes a legally binding framework governing their access to, participation in and engagement with activities conducted by or through Global Legit to the fullest extent permitted by applicable law.

24.4 Where registration, application, enrolment, onboarding, attendance, participation, access, use, communication, submission, contribution or engagement occurs through electronic, digital, online, virtual, physical or hybrid means, such action shall constitute acceptance of and agreement to this Disclaimer.

24.5 Participants acknowledge and agree that continued participation in, access to or engagement with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem of Global Legit following the publication, communication, implementation or amendment of this Disclaimer may constitute acceptance of the Disclaimer as amended from time to time.

24.6 Participants acknowledge that they have had a reasonable opportunity to review, consider and understand the provisions of this Disclaimer and, where deemed necessary, to obtain independent legal or professional advice regarding its contents and implications.

24.7 Participants acknowledge and agree that no statement, representation, promise, assurance, expectation, communication or understanding inconsistent with this Disclaimer shall be binding upon Global Legit unless expressly confirmed in writing by a duly authorised representative of Global Legit.

24.8 Each participant acknowledges and agrees that Global Legit may rely upon the participant’s actions, conduct, communications, registrations, submissions, attendance, participation, access or engagement as evidence of acceptance of this Disclaimer.

24.9 To the fullest extent permitted by applicable law, participants waive any claim that they were unaware of, did not read, did not understand or did not expressly acknowledge this Disclaimer where the Disclaimer was made available, communicated, published, displayed, referenced or otherwise accessible prior to or during participation or engagement.

24.10 By participating in or engaging with Global Legit, each participant expressly acknowledges and agrees to be bound by this Disclaimer and all rights, obligations, limitations, exclusions, protections, reservations and provisions contained herein.

Clause 25 – Foreign Direct Investment (FDI), Investment Facilitation and Commercial Expansion Disclaimer

25.1 Any and all Foreign Direct Investment (FDI) opportunities, investment profiling, investment advisory, investment facilitation, investment matching, investment integration, investment participation, investment inclusion, recommendations, expressions of interest, commercial engagements, negotiations, transactions and investments contemplated, referred to or arising under or in connection with the Global Legit Summit, the Global Legit Enterprise Investment Profiling (GLEIP) Framework, the Global Legit Investor and Investment Integration System (GLIIIS), the Tritium Pathways Framework or any other allied programme, framework, summit, initiative, platform or activity conducted by or through Global Legit shall remain subject to the sole, absolute and unfettered discretion of Global Legit and its associated entities, verticals, divisions, programmes and initiatives.

25.2 No profiling, assessment, analysis, advisory, qualification, categorisation, recommendation, inclusion, engagement, invitation, participation, publication, communication, correspondence, issuance of any code, allocation under any programme, or inclusion in any summit, schedule, report, framework or platform shall constitute or be construed as any representation, warranty, guarantee, commitment, undertaking, promise or obligation that any participant, enterprise, institution or organisation shall receive, be eligible for, secure or be entitled to any investment, funding, financial commitment, commercial transaction, strategic partnership or financial assistance.

25.3 Any investment opportunity, investment facilitation activity, commercial engagement, strategic partnership opportunity or related activity shall remain expressly subject to successful profiling, assessment, analysis, due diligence, verification, validation, risk assessment, compliance review, commercial evaluation, financial evaluation, regulatory review and approval processes, together with all applicable policies, procedures, standards, frameworks, guidelines and requirements of Global Legit and any relevant third party.

25.4 Global Legit does not represent, warrant, guarantee, certify, endorse or assure that any investment opportunity, funding opportunity, strategic alliance, commercial engagement, business arrangement, investor introduction, transaction or investment process will materialise, be completed, achieve any particular outcome or result in any financial, commercial or strategic benefit.

25.5 Any investment opportunity, investment process or commercial engagement may be affected by market conditions, economic conditions, geopolitical developments, governmental policies, diplomatic relations, regulatory developments, legal requirements, taxation frameworks, investor preferences, availability of capital, foreign exchange regulations, sanctions regimes, environmental, social and governance considerations, technological developments, operational feasibility, commercial viability, force majeure events and other factors beyond the control of Global Legit.

25.6 Global Legit reserves the right, at any time and without assigning any reason, to accept, reject, defer, suspend, modify, restrict, discontinue, withdraw, revoke, cancel, terminate, restart, redirect, reschedule or otherwise alter any profiling activity, assessment process, advisory process, investment opportunity, facilitation process, engagement, programme, framework or proposed transaction, in whole or in part, with or without prior notice and without incurring any liability.

25.7 Participants acknowledge and agree that investment opportunities, funding opportunities and commercial engagements are inherently uncertain, speculative and dependent upon the independent decisions, assessments, approvals, actions and conduct of investors, financial institutions, sovereign wealth funds, governmental authorities, regulatory authorities, commercial entities and other third parties over whom Global Legit exercises no control.

25.8 No participant shall acquire any vested, accrued, contractual, equitable, proprietary or enforceable right merely by reason of profiling, assessment, categorisation, valuation, recommendation, publication, qualification, participation, inclusion, communication, introduction or engagement associated with any investment-related process or activity conducted by or through Global Legit.

25.9 Global Legit shall not be under any obligation to disclose, communicate or provide reasons, explanations, internal assessments, evaluation records, profiling records, investment decisions, selection criteria, due diligence findings or confidential information relating to any approval, rejection, suspension, deferment, modification, withdrawal or revocation.

25.10 All investors, investment funds, financial institutions, sovereign wealth funds, governmental authorities, multilateral organisations, commercial entities and other third parties shall act independently and at their sole discretion. Global Legit neither controls nor guarantees the decisions, conduct, commitments, approvals, funding activities, investment decisions or performance of any such third party.

25.11 Nothing contained in any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, communication, assessment, report, profiling exercise or engagement shall be construed as creating any fiduciary relationship, agency, partnership, joint venture, trustee-beneficiary relationship, investment management relationship or similar legal relationship between Global Legit and any participant, enterprise, investor or third party.

25.12 Any profiling, assessment, analysis, categorisation, valuation, recommendation or facilitation activity may be based upon information, records, documents, declarations, disclosures and representations provided by participants or obtained from other sources. Global Legit shall not be responsible for any omission, concealment, misrepresentation, inaccuracy, incompleteness or subsequent change affecting such information.

25.13 Global Legit reserves the right to reopen, review, reassess, re-evaluate, re-profile, reclassify, modify, reschedule, suspend or revoke any profiling, assessment, categorisation, valuation, qualification, recommendation, advisory process, inclusion or investment-related activity whenever considered necessary, appropriate or desirable.

25.14 All investment-related activities, facilitation processes, profiling exercises, commercial engagements and related initiatives shall remain subject to all applicable domestic and international laws, regulations, governmental approvals, licensing requirements, sanctions regimes, foreign investment laws, anti-money laundering laws, counter-terrorism financing laws, anti-bribery laws, anti-corruption laws, export control regulations, data protection requirements and other applicable legal, regulatory and compliance obligations.

25.15 Nothing contained in any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity, communication, report, assessment, profiling exercise, recommendation or engagement shall constitute investment advice, financial advice, legal advice, tax advice, accounting advice, securities advice or an offer, solicitation or invitation to invest, and participants shall obtain such independent professional advice as they consider necessary.

25.16 To the fullest extent permitted by applicable law, Global Legit shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, commercial, financial, reputational or other loss, damage, liability, claim, cost, expense, loss of opportunity, loss of business, loss of revenue, loss of profit or other consequence arising directly or indirectly from any investment opportunity, investment process, funding activity, commercial engagement, investor interaction, transaction or related activity.

25.17 By participating in or engaging with any investment-related process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem conducted by or through Global Legit, each participant acknowledges and irrevocably accepts the limitations, reservations, exclusions, discretionary powers and risk allocations contained in this Clause.

Clause 26 – Amendments and Modifications

26.1 Global Legit reserves the right, at its sole discretion and without incurring any liability, to amend, modify, supplement, update, revise, replace, consolidate, restructure, withdraw or otherwise alter this Disclaimer, in whole or in part, at any time.

26.2 Any amendment, modification, supplement, update, revision, replacement or alteration may be made for legal, regulatory, operational, administrative, commercial, technological, security, policy, governance or other reasons considered appropriate by Global Legit.

26.3 Global Legit may communicate, publish, display, circulate, reference or otherwise make available any amended version of this Disclaimer through such means as Global Legit considers appropriate, including websites, platforms, portals, publications, communications, registration processes, digital systems, events or other channels.

26.4 Unless otherwise expressly stated by Global Legit, any amendment, modification, supplement, update, revision, replacement or alteration shall become effective upon publication, communication or implementation by Global Legit.

26.5 Participants are responsible for reviewing and remaining informed of the current version of this Disclaimer and any amendments or modifications thereto.

26.6 Global Legit shall not be obligated to provide individual notice of every amendment, modification, supplement, update, revision, replacement or alteration made to this Disclaimer.

26.7 Continued access to, participation in, attendance at, registration for, use of or engagement with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem conducted by or through Global Legit following the publication, communication or implementation of any amendment or modification may constitute acceptance of such amendment or modification.

26.8 No participant shall acquire any vested right, entitlement, expectation or claim that any provision of this Disclaimer shall remain unchanged for any particular period of time.

26.9 Nothing contained in this Clause shall prevent Global Legit from issuing clarifications, interpretations, guidance notes, operational directions, policies, procedures, standards or supplementary provisions in relation to this Disclaimer or any activity conducted by or through Global Legit.

26.10 Any amendment, modification, supplement, update, revision, replacement or alteration made by Global Legit shall be binding to the fullest extent permitted by applicable law.

26.11 No amendment, modification, waiver or variation proposed by a participant shall be effective or binding upon Global Legit unless expressly agreed in writing by a duly authorised representative of Global Legit.

26.12 By participating in or engaging with Global Legit, each participant acknowledges and agrees that this Disclaimer may be amended or modified from time to time and accepts the authority of Global Legit to make such amendments and modifications in accordance with this Clause.

Clause 27 – Waiver

27.1 No failure, delay, omission, relaxation, indulgence or partial exercise by Global Legit of any right, power, authority, discretion, remedy, protection, privilege or entitlement arising under this Disclaimer, applicable law or otherwise shall constitute or be construed as a waiver thereof.

27.2 No waiver by Global Legit of any breach, default, non-compliance, violation or failure by any participant shall be deemed to constitute a waiver of any preceding, continuing, subsequent or future breach, default, non-compliance, violation or failure, whether of the same or a different nature.

27.3 Any waiver, consent, approval, concession, permission, relaxation or indulgence granted by Global Legit shall be effective only to the extent expressly stated in writing and shall be strictly limited to the specific matter, circumstance and purpose for which it is granted.

27.4 No waiver shall be implied from any course of conduct, practice, communication, correspondence, silence, inaction, delay, partial exercise of rights or other conduct of Global Legit.

27.5 The exercise by Global Legit of any right, power, authority, discretion, remedy or protection shall not preclude, restrict or prejudice the subsequent or concurrent exercise of any other right, power, authority, discretion, remedy or protection available to it.

27.6 Any waiver granted by Global Legit on a particular occasion shall not create any obligation, expectation, precedent, entitlement or requirement for Global Legit to grant a similar waiver on any other occasion.

27.7 No participant shall be entitled to rely upon any statement, communication, representation, conduct, omission or practice as constituting a waiver unless such waiver has been expressly authorised and confirmed in writing by a duly authorised representative of Global Legit.

27.8 The rights, powers, authorities, discretions, remedies, protections and privileges of Global Legit under this Disclaimer shall be cumulative and not exclusive of any rights, powers, authorities, discretions, remedies, protections or privileges available under applicable law, equity, contract or otherwise.

27.9 Any waiver that is determined to have been validly granted shall be interpreted narrowly and shall not be extended by implication, analogy, inference or course of dealing beyond its express terms.

27.10 By participating in or engaging with Global Legit, each participant acknowledges and agrees that the non-exercise, delayed exercise or partial exercise of any right, power, authority, discretion, remedy or protection by Global Legit shall not constitute a waiver thereof and shall not prejudice the future exercise of any such right, power, authority, discretion, remedy or protection.

Clause 28 – Electronic Communications and Electronic Consent

28.1 Global Legit may communicate, correspond, notify, publish, circulate, transmit, provide information, obtain confirmations, collect submissions, administer processes and conduct activities through electronic, digital, online, virtual, automated or technology-enabled means, including websites, portals, applications, platforms, electronic mail, messaging services, digital forms, electronic signatures, virtual meeting platforms, social media channels and other communication technologies.

28.2 Participants acknowledge and agree that electronic communications, electronic records, electronic submissions, electronic acknowledgements, electronic approvals, electronic acceptances, electronic signatures, digital confirmations and other electronic interactions may be used in connection with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem conducted by or through Global Legit.

28.3 By accessing, registering for, participating in, attending, contributing to, communicating with, submitting information to, utilising, engaging with or otherwise interacting with Global Legit through any electronic or digital means, each participant consents to the use of electronic communications and electronic records in connection with such participation or engagement.

28.4 Participants acknowledge and agree that electronic communications, electronic records, electronic acknowledgements, electronic acceptances, electronic submissions and electronic consents may have the same legal effect, validity, enforceability and evidentiary value as communications and records executed or maintained in physical or written form, to the fullest extent permitted by applicable law.

28.5 Any registration, enrolment, application, submission, acknowledgement, confirmation, acceptance, consent, approval, authorisation, declaration, representation or other action completed through electronic or digital means may constitute valid and binding evidence of the participant’s intention, consent, acceptance or agreement.

28.6 Global Legit may rely upon electronic communications, electronic instructions, electronic submissions, electronic approvals, electronic acceptances, electronic signatures, digital confirmations and other electronic interactions as authentic and authorised unless Global Legit has actual knowledge to the contrary.

28.7 Participants shall be solely responsible for maintaining the security, confidentiality and integrity of their electronic devices, accounts, credentials, passwords, access mechanisms, communication systems and digital records and shall bear all risks associated with unauthorised access, misuse, loss, compromise or disclosure arising from their failure to do so.

28.8 Global Legit shall not be liable for any loss, damage, liability, claim, cost, expense, delay, interruption, transmission failure, corruption of data, technological malfunction, cyber incident, security breach, unauthorised access or other consequence arising from the use of electronic communications, digital systems, online platforms or technology infrastructure, except to the extent required by applicable law.

28.9 Participants acknowledge and agree that electronic communications may not always be secure, uninterrupted, error-free, timely, complete or available and that Global Legit does not guarantee the delivery, receipt, accessibility, accuracy or security of any electronic communication.

28.10 Global Legit reserves the right to adopt, modify, replace, suspend, discontinue or impose conditions upon any electronic communication system, platform, technology, process, electronic signature mechanism, authentication method or digital engagement process at any time and without prior notice.

28.11 Any notice, communication, acknowledgement, consent, acceptance, approval, instruction, submission, declaration, record or document transmitted, received, stored or maintained electronically by or through Global Legit may be retained, archived, reproduced and relied upon as evidence to the fullest extent permitted by applicable law.

28.12 By participating in or engaging with Global Legit through any electronic, digital, online, virtual or technology-enabled means, each participant expressly consents to the use of electronic communications, electronic records and electronic processes and acknowledges their legal validity and enforceability in accordance with this Clause.

Clause 29 - Language and Interpretation

29.1 This Disclaimer is prepared and issued in the English language, and the English language version shall constitute the official, governing and controlling version for all purposes.

29.2 Any translation of this Disclaimer, or any part thereof, into any other language is provided solely for convenience, accessibility, informational or reference purposes and shall not affect the interpretation, validity, enforceability or operation of the English language version.

29.3 In the event of any inconsistency, ambiguity, discrepancy, conflict or difference between the English language version and any translated version of this Disclaimer, the English language version shall prevail and be conclusive.

29.4 Headings, titles, captions, clause names, section names and descriptive references contained in this Disclaimer are included for convenience and reference only and shall not affect the interpretation, construction, scope, meaning or application of any provision.

29.5 Unless the context otherwise requires, words importing the singular shall include the plural and vice versa, words importing any gender shall include all genders, and references to persons shall include individuals, enterprises, corporations, companies, partnerships, institutions, organisations, governmental bodies, regulatory authorities and other legal or natural persons.

29.6 References to any law, statute, regulation, rule, code, directive, policy, guideline, governmental requirement or legal instrument shall include any amendment, modification, re-enactment, replacement, consolidation, extension or successor thereto.

29.7 The words “including”, “includes”, “such as”, “for example” and similar expressions shall be deemed to be followed by the words “without limitation” unless the context expressly requires otherwise.

29.8 No rule of construction shall apply to the disadvantage of Global Legit or any participant solely because Global Legit prepared, drafted, reviewed, published or issued this Disclaimer.

29.9 The invalidity, ambiguity, unenforceability or inapplicability of any word, phrase, provision or part of this Disclaimer shall not affect the interpretation or application of the remaining provisions except to the extent expressly provided herein or required by applicable law.

29.10 This Disclaimer shall be interpreted in a manner that gives effect to its purpose, objectives, protections, limitations, exclusions, reservations, rights and obligations and preserves its validity and enforceability to the fullest extent permitted by applicable law.

29.11 Any reference to Global Legit shall, where the context permits, include its affiliates, subsidiaries, associate entities, divisions, initiatives, programmes, forums, publications, representatives, officers, employees, consultants, agents, successors and permitted assigns.

29.12 By participating in or engaging with Global Legit, each participant acknowledges and agrees that the interpretation and application of this Disclaimer shall be governed by the principles set out in this Clause.

Clause 30 – Contact and Administrative Communications

30.1 Global Legit may communicate with participants in connection with any process, programme, initiative, service, platform, publication, event, summit, conference, forum, activity or commercial ecosystem through such communication channels as Global Legit may consider appropriate, including electronic mail, websites, portals, applications, messaging services, digital platforms, social media channels, telephone communications, written correspondence and other communication methods.

30.2 Participants shall be solely responsible for providing accurate, complete and current contact information and for promptly updating any changes to their contact details, communication preferences or relevant information.

30.3 Global Legit shall be entitled to rely upon the contact information most recently provided by a participant and shall not be responsible for any consequence arising from inaccurate, incomplete, outdated or inaccessible contact information.

30.4 Any notice, communication, correspondence, announcement, update, request, reminder, confirmation, instruction, publication or other administrative communication sent, transmitted, published or otherwise made available by Global Legit through the contact details or communication channels provided by a participant shall be deemed to have been duly communicated.

30.5 Participants acknowledge and agree that Global Legit may issue administrative communications relating to registration, participation, onboarding, profiling, compliance, scheduling, programme administration, operational matters, security matters, policy updates, event management, record-keeping, verification processes, stakeholder engagement and other matters connected with activities conducted by or through Global Legit.

30.6 Global Legit does not guarantee that any communication will be received, read, acknowledged, responded to or acted upon by any participant and shall not be liable for any consequence arising from non-receipt, delayed receipt, filtering, blocking, technical failure or other communication-related issue.

30.7 Participants shall remain responsible for regularly monitoring their designated communication channels and for reviewing communications, notifications, updates, publications and announcements issued by or through Global Legit.

30.8 Global Legit reserves the right to determine the form, format, content, frequency, timing and method of any administrative communication and may modify the same at any time without prior notice.

30.9 Nothing contained in any administrative communication shall be construed as creating any representation, warranty, guarantee, commitment, contractual obligation or legally binding undertaking unless expressly stated in writing by a duly authorised representative of Global Legit.

30.10 Global Legit may maintain records of communications, correspondence, notices, submissions, confirmations, enquiries, requests and other interactions for administrative, operational, compliance, security, evidentiary, archival and other lawful purposes.

30.11 Participants acknowledge and agree that communications may be issued by Global Legit, its affiliates, subsidiaries, associate entities, divisions, initiatives, programmes, forums, publications, authorised representatives, service providers or designated administrators acting on its behalf.

30.12 By participating in or engaging with Global Legit, each participant acknowledges and agrees to receive and be bound by administrative communications issued in connection with activities conducted by or through Global Legit in accordance with this Clause.

Clause 31 – Regional Representatives and Authority Limitations

31.1 Regional Representative means and includes any Regional Representative, Regional Partner, Country Partner, National Partner, State Partner, Territory Partner, Strategic Partner, Programme Partner, Project Partner, Affiliate Partner, Local Representative, Area Representative, Business Development Representative, Commission-Based Representative, Success-Based Representative or any other equivalent individual, enterprise, entity, organisation, institution, partnership, association, body, representative office or arrangement designated, recognised, appointed, engaged or authorised by Global Legit for the purpose of facilitating, coordinating, soliciting, profiling, engaging, managing, supporting, promoting or administering activities within a specified geographical area, jurisdiction, territory, sector, programme, project, process, initiative or stakeholder ecosystem. Such appointment shall be undertaken in the respective representative's own capacity, capability, resources, infrastructure, operational arrangements and commercial responsibility.

31.1.1 Each Regional Representative shall be subject to such minimum performance requirements, payment of prescribed at least threshold values for participation in or association with any process, programme, project, initiative or activity, profiling requirements, sponsor engagement requirements, commercial placement requirements, onboarding requirements, enterprise management requirements, programme requirements, project requirements, participation requirements, financial thresholds, commission thresholds and other performance criteria as may be prescribed by Global Legit from time to time for the retention, continuation, renewal or maintenance of the relevant position, designation, territory, status or appointment. Failure to achieve, maintain, satisfy or comply with any prescribed threshold value, payment obligation, performance requirement, operational requirement or other prescribed criterion may result in the suspension, restriction, downgrade, reassignment, withdrawal, replacement or termination of such appointment at the sole discretion of Global Legit.

31.1.2 For the avoidance of doubt, no Regional Representative shall acquire any vested right, proprietary right, territorial right, renewal right, exclusivity right or continuing entitlement in respect of any position, designation, territory or appointment, and all appointments shall remain subject to ongoing compliance with the requirements prescribed by Global Legit from time to time.

31.1.3 Nothing contained herein shall create any employment relationship, agency relationship, partnership, joint venture, ownership interest, fiduciary relationship or authority to bind Global Legit except to the extent expressly authorised in writing by a duly authorised representative of Global Legit.

31.1.4 Regional Representatives are engaged on a commission-based, compete performance-based and success-based model achiveiing comeplt success of the assigned proceeses, programmes,projects , and shall perform their complete responsibilities in accordance with the objectives, standards, requirements, policies, procedures and expectations prescribed by Global Legit from time to time.

31.1.5 Regional Representatives are engaged on a commission-based, complete performance-based and success-based model, whereby eligibility for any commission, incentive, remuneration or benefit shall arise only upon the successful, satisfactory and complete achievement, management and closure of the assigned processes, programmes, projects, initiatives, milestones and related activities. Regional Representatives shall perform and discharge their responsibilities strictly in accordance with the objectives, standards, requirements, policies, procedures, timelines, milestone requirements, performance expectations, operational requirements and completion criteria prescribed by Global Legit from time to time.

31.1.6 Regional Representatives are appointed in their independent capacity and shall be responsible for maintaining the threshold values, performance benchmarks, operational requirements, stakeholder engagement requirements, profiling requirements, enterprise management requirements, participation requirements and other criteria prescribed by Global Legit for the retention and continuation of their respective Regional Representative position, designation, territory or appointment.

31.2 The Regional Representativeacknowledges and agrees that the appointment is primarily for the purposes of solicitation, profile management, sponsor engagement, commercial placement engagement, enterprise management, programme facilitation, project facilitation, participant engagement, investor engagement, commercial placement facilitation, stakeholder engagement, on-boarding coordination and other authorized activities relating to the processes, programmes, projects, initiatives, timelines, milestones and commercial ecosystems of Global Legit.

31.3 Regional Representatives shall not be entitled to any monetary advantage, ownership interest, proprietary interest, revenue share, participation right, commercial entitlement, stakeholder entitlement or other financial benefit arising from or relating to any process, programme, project, initiative, timeline, milestone, stakeholder engagement, commercial placement, enterprise engagement, participant engagement, profiling activity or commercial ecosystem of Global Legit.

31.3.1 In the event that any monetary arrangement, remuneration, incentive, commission, reward, commercial benefit or financial entitlement is made available to a Regional Representative, the same shall be solely and strictly limited to such success-based commission, performance-based incentive, referral-based remuneration or other compensation structure as may be expressly prescribed, approved or communicated by Global Legit from time to time.

31.3.2 Any such entitlement shall be further limited exclusively to the enterprises, entities, profiles, sponsors, investors, participants, stakeholders, commercial placements, referrals or opportunities successfully solicited, referred, profiled, managed and completed by the Regional Representative in accordance with the requirements prescribed by Global Legit.

31.3.3 No commission, incentive, remuneration or other compensation shall become due, payable or vested merely upon solicitation, referral, introduction, profile submission, profile management, onboarding activity, stakeholder engagement, sponsor engagement, investor engagement or commercial placement activity.

31.3.4Eligibility for any success-based commission, performance-based incentive, referral-based remuneration or other compensation shall arise only upon the successful, satisfactory and complete fulfilment, completion and closure of the relevant process, programme, project, initiative, timeline, milestone, placement, engagement or other authorised activity, as determined by Global Legit.

31.3.5 The completion, achievement, closure, ownership, administration, management, records, documentation, communications, stakeholder relationships, participant relationships, enterprise profiles, sponsor profiles, investor profiles, commercial placements, timelines, milestones and all associated rights, interests and benefits relating to any process, programme, project, initiative or activity shall at all times remain the sole and exclusive asset and property of Global Legit.

31.3.6 No Regional Representative shall acquire or claim any ownership right, proprietary right, continuing entitlement, vested interest, commercial interest, territorial right or other right in respect of any process, programme, project, initiative, timeline, milestone, profile, enterprise, sponsor, investor, stakeholder, participant, placement or opportunity by reason only of solicitation, referral, profiling, management, facilitation or participation therein.

31.3.7 For the avoidance of doubt, all processes, programmes, projects, initiatives, timelines, milestones, profiles, records, documentation, enterprise engagements, sponsor engagements, investor engagements, stakeholder engagements, commercial placements and related information shall remain the sole and exclusive property of Global Legit for all purposes, and the role of the Regional Representative shall be limited to the scope of engagement expressly authorised by Global Legit.

31.4 Except for expressly approved success-based commissions, performance-based incentives or referral-based remuneration, Regional Representatives shall not be entitled to any salary, retainer, employment benefit, fixed compensation, participation fee, administrative fee, onboarding fee, management fee or other financial entitlement from Global Legit.

31.5 The eligibility of a Regional Representative to receive any success-based commission, performance-based incentive or referral-based remuneration shall remain subject to the successful, satisfactory and timely completion of the relevant process, programme, project, initiative, placement, profiling activity, stakeholder engagement, enterprise engagement or other authorised activity, together with compliance with all applicable requirements prescribed by Global Legit.

31.6 Failure to submit the prescribed threshold values, maintain the prescribed threshold values, achieve the required performance standards, satisfy operational requirements, comply with compliance requirements, fulfil stakeholder engagement requirements or meet any other prescribed criteria may result in the suspension, restriction, reassignment, downgrade, withdrawal, revocation or termination of the Regional Representative's appointment without compensation and without prejudice to any other rights, remedies, protections or actions available to Global Legit.  

31.4 No Regional Representative shall represent, imply, suggest or create any impression that they are entitled to receive any payment, fee, charge, contribution, commission, remuneration or financial or monetary  benefit other than those expressly authorised in writing by Global Legit.

31.5 The success-based commission structure applicable to Regional Representatives shall not be construed as creating any employment relationship, partnership, joint venture, agency, ownership interest or continuing financial entitlement, and all commissions, incentives and remuneration shall remain conditional upon compliance with the requirements and policies prescribed by Global Legit from time to time

31.6 Regional Representatives shall maintain the capability, capacity, resources, competence, responsiveness, professionalism and operational effectiveness necessary to discharge their assigned responsibilities and obligations. All costs, expenses, expenditures, resource commitments, operational requirements, administrative expenses, infrastructure costs, travel costs, communication costs, stakeholder engagement costs, threshold value payments and other financial or non-financial commitments required for the performance of their responsibilities shall be borne solely by the respective Regional Representative at their own risk, cost and responsibility, unless expressly approved otherwise in writing by Global Legit. Any such costs, expenses, payments, commitments or contributions made by a Regional Representative shall be non-refundable, non-adjustable and non-reimbursable, and no claim for reimbursement, refund, compensation or recovery shall lie against Global Legit unless expressly agreed in writing by a duly authorised representative of Global Legit.

31.7 Global Legit reserves the right, at its sole and absolute discretion and without incurring any liability, to suspend, restrict, replace, remove, revoke, withdraw or terminate the appointment, designation, authority, recognition or engagement of any Regional Representative where Global Legit determines that such Regional Representative has failed, neglected or become unable to adequately perform, facilitate, administer, support, manage or execute any assigned process, programme, project, initiative, timelines, milestones, activity or responsibility.

31.8 No Regional Representative shall have any vested right to continue in any appointment, designation, position, role, territory, assignment, programme, project or engagement, and all such appointments and engagements shall remain subject to periodic review and the continuing satisfaction of performance, compliance, operational and strategic requirements as determined by Global Legit.

31.9 Regional Representatives shall maintain the capability, capacity, resources, competence, responsiveness, professionalism and operational effectiveness necessary to discharge their assigned responsibilities and obligations. All costs, expenses, expenditures, resource commitments, operational requirements, administrative expenses, infrastructure costs, travel costs, communication costs, stakeholder engagement costs, threshold value payments and other financial or non-financial commitments required for the performance of their responsibilities shall be borne solely by the respective Regional Representative at their own risk, cost and responsibility, unless expressly approved otherwise in writing by Global Legit. Any such costs, expenses, payments, commitments or contributions made by a Regional Representative shall be non-refundable, non-adjustable and non-reimbursable, and no claim for reimbursement, refund, compensation or recovery shall lie against Global Legit unless expressly agreed in writing by a duly authorised representative of Global Legit.    

31.10Global Legit reserves the right, at its sole and absolute discretion and without incurring any liability, to suspend, restrict, replace, remove, revoke, withdraw or terminate the appointment, designation, authority, recognition or engagement of any Regional Representative where Global Legit determines that such Regional Representative has failed, neglected or become unable to adequately perform, facilitate, administer, support, manage or execute any assigned process, programme, project, initiative, timelines, milestones, activity or responsibility.

31.11 No Regional Representative shall have any vested right to continue in any appointment, designation, position, role, territory, assignment, programme, project or engagement, and all such appointments and engagements shall remain subject to periodic review and the continuing satisfaction of performance, compliance, operational and strategic requirements as determined by Global Legit.

31.12 The decision of Global Legit regarding the appointment, continuation, suspension, replacement, reassignment, restriction, withdrawal or termination of any Regional Representative shall be final and binding and may be exercised with or without assigning any reason.  

31.13 The Regional Representatives are assigned, designated or engaged solely in connection with specific processes, programmes, projects, initiatives, platforms, publications, events, summits, conferences, forums, commercial ecosystems or other activities conducted by or through Global Legit and shall perform their functions strictly subject to the terms, conditions, limitations and directions prescribed by Global Legit from time to time.

31.14 Subject to Clause 14 (Intellectual Property Disclaimer), Clause 15 (Privacy and Data Disclaimer), and all other applicable provisions of this Disclaimer, all information, records, databases, submissions, profiles, communications, documents, materials, reports, assessments, enterprise information, participant information, stakeholder information, investor information, sponsor information, commercial information and other assets relating to or arising from any process, programme, project, initiative, platform, publication, event, summit, conference, forum, commercial ecosystem or activity conducted by or through Global Legit shall be administered, maintained and controlled by Global Legit in accordance with the rights, permissions and limitations set out in this Disclaimer.

31.15 No appointment, designation, engagement, participation, contribution, facilitation, profiling activity, introduction, relationship management activity or business development activity by a Regional Representative shall create, confer, transfer, assign or vest in such Regional Representative any ownership right, proprietary interest, intellectual property right, beneficial interest, goodwill interest, database right, commercial right, stakeholder right or other legal or equitable right in respect of any information, records, profiles, enterprises, participants, sponsors, investors, stakeholders, opportunities, databases, relationships, activities or assets associated with Global Legit.

31.16 Any information, data, enterprise profiles, participant details, sponsor details, investor details, stakeholder details, submissions, records, documents, communications, databases, introductions, contacts, opportunities, materials or other information submitted, sourced, collected, generated, facilitated, introduced, referred, coordinated, managed or otherwise made available by a Regional Representative in connection with any Global Legit process, programme, project, initiative, platform, publication, event, summit, conference, forum, commercial ecosystem or activity shall be subject to the intellectual property, usage, privacy, data processing, record-keeping and administrative provisions contained elsewhere in this Disclaimer, including Clause 14 and Clause 15.

31.17 Regional Representatives acknowledge and agree that they shall not acquire, assert or claim any ownership right, proprietary right, commercial right, intellectual property right, database right, goodwill right, stakeholder right, relationship-management right, referral right, client right, participant right, enterprise right, sponsor right, investor right or any other right, title, interest, entitlement or benefit in respect of any information, profiles, enterprises, entities, participants, sponsors, investors, stakeholders, opportunities, databases, records, relationships, communications, documentation, placements, engagements, processes, programmes, projects, initiatives, timelines, milestones or commercial ecosystems associated with Global Legit by reason only of their involvement, contribution, facilitation, participation, referrals, solicitations, profile management, stakeholder engagement, enterprise management, onboarding activities or any other act, activity, service, function, responsibility or involvement of any kind or manner whatsoever. All such information, profiles, enterprises, entities, participants, sponsors, investors, stakeholders, opportunities, databases, records, relationships, communications, documentation, placements, engagements, processes, programmes, projects, initiatives, timelines, milestones and commercial ecosystems shall at all times remain the sole and exclusive property, asset and interest of Global Legit.

31.18 Upon suspension, expiration, withdrawal, revocation or termination of any appointment or engagement, all rights of access granted to a Regional Representative shall immediately cease, and all information, records, databases, profiles, documents, materials and other assets relating to Global Legit shall continue to remain under the administration and control of Global Legit in accordance with this Disclaimer.

31.19 Regional Representatives are appointed and engaged within their respective approved regional capacities, territorial scopes, operational thresholds, performance parameters, authority limits and assigned responsibilities as determined by Global Legit from time to time.

31.20 Regional Representatives shall operate strictly within the scope of authority, territorial jurisdiction, performance thresholds, operational mandates, onboarding limits, profiling limits, engagement limits and other parameters expressly assigned or approved by Global Legit.

31.21 Any misrepresentation, false statement, unauthorised commitment, unauthorised expansion of authority, deviation from assigned responsibilities, deviation from approved thresholds, deviation from prescribed procedures, misuse of designation, misuse of authority, misuse of information, misconduct, concealment of material facts, withholding of information, withholding of material information, withholding of communications, withholding of documentation, withholding of monetary transactions, withholding of funds, unauthorised collection of monies, unauthorised receipt of funds, unauthorised financial dealings, financial irregularities, financial misconduct, financial fraud, fraud, embezzlement, misappropriation of funds, criminal intimidation, coercion, extortion, misrepresentation to participants, sponsors, investors, enterprises, stakeholders or third parties, unauthorised representations made on behalf of Global Legit, falsification of records, falsification of reports, falsification of communications, conflict of interest, bad-faith conduct, obstruction of any process, programme or project, interference with stakeholder relationships, diversion of opportunities, diversion of participants, diversion of enterprises, diversion of sponsors, diversion of investors, diversion of commercial placements, breach of confidentiality, reputational harm, unlawful conduct or any other unauthorised, improper, fraudulent, unethical, criminal or prejudicial act or omission by a Regional Representative shall constitute a material breach of the Regional Representative's obligations and appointment and may result in immediate suspension, restriction, revocation or termination of such appointment, without compensation and without prejudice to any civil, criminal, contractual, equitable, regulatory or other rights, remedies or actions available to Global Legit.

31.22 Any such breach may result in the immediate suspension, restriction, withdrawal, revocation or termination of the Regional Representative's appointment without notice and without prejudice to any other rights, remedies or actions available to Global Legit.

31.23 Without prejudice to and in addition to the Indemnity provisions contained elsewhere in this Disclaimer, each Regional Representative shall indemnify, defend and hold harmless Global Legit, its affiliates, subsidiaries, associate entities, divisions, initiatives, programmes, forums, publications, officers, directors, employees, consultants, representatives, successors and assigns from and against any claims, demands, actions, proceedings, liabilities, losses, damages, costs, expenses, penalties, fines, sanctions, judgments and obligations arising out of or relating to any act, omission, negligence, misconduct, breach, misrepresentation, unauthorised commitment, unlawful conduct, non-compliance, failure of performance or other conduct of such Regional Representative.

31.24 The indemnification obligations contained in this Clause shall be read together with, and shall supplement and not limit, any Indemnity provisions contained elsewhere in this Disclaimer.

31.25  Participants, enterprises, institutions, organisations, investors, sponsors, stakeholders and all other persons engaging with Global Legit acknowledge and agree that Regional Representatives do not possess, and shall not be deemed to possess, any authority to execute, sign, issue, approve, certify, endorse, release, grant, authorise, conclude, amend, waive, vary, terminate or otherwise create any legally binding document, instrument, commitment, obligation, representation, warranty, undertaking, approval, certification, accreditation, appointment, authorisation, agreement, contract, licence, permit, assurance, documentation, record, code, stage-transfer document, onboarding document, profiling document, enterprise document, communication or correspondence in any form or manner whatsoever, whether oral, written, electronic, digital, virtual, physical, implied or otherwise, on behalf of Global Legit unless expressly authorised in writing by a duly authorised representative of Global Legit.

Any document, communication, correspondence, approval, authorisation, certification, code, stage-transfer communication, onboarding communication, profiling communication, enterprise communication, commitment, assurance, representation, undertaking or other material issued, released, communicated, circulated, transmitted or purportedly issued on behalf of Global Legit by a Regional Representative without such express written authorisation shall be deemed null, void, invalid and ab initio, shall create no obligation, liability, commitment or responsibility upon Global Legit and shall not be relied upon for any purpose whatsoever.

31.26 No statement, communication, correspondence, representation, assurance, undertaking, commitment, approval, certificate, letter, memorandum, document, arrangement or act issued, signed, communicated or performed by a Regional Representative shall be binding upon Global Legit unless expressly approved and authorised in writing by a duly authorised representative of Global Legit.

31.27 Regional Representatives shall not represent, imply, suggest or create any impression that they possess authority to legally bind, represent, commit or act on behalf of Global Legit beyond the authority expressly granted to them in writing.

31.28 Participants acknowledge and agree that Regional Representatives are not authorised to quote, negotiate, demand, request, collect, receive, accept, process or handle any fee, charge, contribution, donation, subscription, commission, investment amount, sponsorship amount, participation fee, registration fee, service fee, membership fee, administrative charge, commercial payment or any other monetary consideration on behalf of Global Legit unless expressly authorised in writing by a duly authorised representative of Global Legit.

31.29 Regional Representatives shall not represent, suggest, imply or create any impression that any payment, financial commitment, contribution, investment, sponsorship, subscription or other monetary transaction is required, approved, authorised or endorsed by Global Legit unless such requirement has been expressly communicated through an official written communication issued by a duly authorised representative of Global Legit.

31.30 Any monetary transaction, payment, transfer, contribution, investment, sponsorship payment, fee payment, commercial placement payment, onboarding payment, processing fee, administrative fee or other financial arrangement entered into, collected, received, facilitated, requested, demanded or accepted by a Regional Representative from any participant, enterprise, institution, organisation, investor, sponsor, stakeholder or third party without the express written authorisation of Global Legit shall be deemed null, void and ab initio, and Global Legit shall have no liability, responsibility or obligation whatsoever in relation thereto. Any such transaction shall be undertaken solely at the risk of the parties involved, and no person shall be entitled to assert any claim, right, entitlement, recovery, reimbursement, compensation or remedy against Global Legit arising directly or indirectly from such unauthorised transaction, payment, transfer, contribution, investment, sponsorship arrangement, fee arrangement or financial dealing

31.31 Participants, enterprises, institutions, organisations, investors, sponsors, stakeholders and all other persons engaging with Global Legit shall promptly notify Global Legit at the earliest available opportunity upon becoming aware of any actual, suspected or alleged deviation, misrepresentation, unauthorised communication, unauthorised commitment, unauthorised collection of funds, unauthorised request for payment, misuse of authority, misconduct or other irregularity involving a Regional Representative.

31.32 Where any process, programme, project, initiative, assessment, profiling exercise, onboarding process, recognition programme, accreditation process, award process, summit participation process or other activity conducted by or through Global Legit is structured in stages, phases, levels, segments or milestones, all official approvals, confirmations, acceptances, admissions, selections, recognitions, certifications, designations, profile inclusions, status determinations, communications, issuances and releases relating thereto shall be made solely and directly by Global Legit through its authorised channels.

31.33 All official meeting invitations, meeting links, access credentials, participation credentials, onboarding communications, process communications, programme communications, project communications, notices, instructions, approvals, confirmations, schedules, releases, announcements and other official information relating to any process, programme, project, initiative or activity of Global Legit shall be issued solely by Global Legit through its designated and authorised communication channels.

31.34 Regional Representatives shall not issue, release, circulate, communicate, approve, certify, confirm or otherwise provide any official stage outcome, approval, selection status, admission status, accreditation status, recognition status, participation status, meeting link, access credential, authorisation, certificate, appointment, process determination or other official communication unless expressly authorised in writing by a duly authorised representative of Global Legit.

Clause 32 – Participant Vigilance and Verification of Regional Representative Activities

32.1 Participants, delegates, speakers, panellists, moderators, enterprises, institutions, organisations, investors, sponsors, exhibitors, partners, commercial placements, commercial participants, strategic participants, stakeholders and third parties engaging with Global Legit shall remain vigilant and exercise appropriate caution in all dealings, communications, interactions, transactions and engagements involving Regional Representatives.

32.2 Participants acknowledge and agree that Regional Representatives operate within a limited scope of authority and that all official onboarding, approval, registration, verification, confirmation, stage progression, code issuance, documentation issuance, status determination, administrative processing and formal communications shall be undertaken directly by Global Legit through its authorised channels unless expressly stated otherwise in writing.

32.3 Participants shall independently verify with Global Legit any instruction, communication, representation, assurance, commitment, approval, authorisation, code, stage update, status update, payment request, documentation, process requirement, programme requirement, project requirement or other information communicated by a Regional Representative where there exists any uncertainty, inconsistency, deviation or doubt regarding its authenticity, validity or authority.

32.4 Participants shall not rely solely upon any statement, assurance, commitment, representation, undertaking, approval, confirmation, communication, document, code, stage determination, status update or instruction communicated by a Regional Representative unless the same has been expressly issued, approved, confirmed or communicated by Global Legit through its authorised channels.

32.5 Any request for payment, transfer of funds, contribution, investment, sponsorship payment, fee payment, commercial placement payment, administrative payment or other monetary transaction communicated by a Regional Representative shall be independently verified with Global Legit before any action is taken by a participant.

32.6 Participants shall promptly notify Global Legit of any suspected misrepresentation, false statement, unauthorised communication, unauthorised commitment, unauthorised assurance, unauthorised payment request, misleading information, fraudulent conduct, concealment of information, deviation from prescribed procedures or other irregular conduct involving a Regional Representative.

32.7 All participants, delegates, speakers, panellists, moderators, enterprises, institutions, organisations, investors, sponsors, exhibitors, partners, commercial placements, commercial participants, strategic participants, stakeholders and third parties participating in, associated with or engaged through any process, programme, project, initiative, platform, publication, event, summit, conference, forum, activity or commercial ecosystem of Global Legit shall be subject to onboarding, approval, registration, verification, confirmation and administrative processing directly by Global Legit through its authorised channels.

32.8 Participants acknowledge and agree that Global Legit shall not be liable for any loss, damage, liability, claim, cost, expense, consequence, misunderstanding, delay, disruption or adverse outcome arising directly or indirectly from any misrepresentation, misstatement, omission, unauthorised communication, inaccurate information, misleading information, unauthorised assurance, unauthorised commitment, unauthorised approval, unauthorised instruction or other conduct of a Regional Representative.

32.9 Any information, statement, representation, assurance, undertaking, commitment, communication, document, code, status update, stage determination, approval, confirmation or other information communicated by a Regional Representative beyond the scope of authority expressly granted by Global Legit shall be deemed the sole responsibility of the Regional Representative and shall not be attributed to, binding upon or enforceable against Global Legit.

32.10 Global Legit expressly disclaims all responsibility and liability in respect of any act, omission, misrepresentation, unauthorised communication, unauthorised commitment, inaccurate information, misleading information or other conduct of a Regional Representative that is not expressly authorised, approved or confirmed in writing by a duly authorised representative of Global Legit.

32.11 Any participant who becomes aware of any suspected deviation, irregularity, misrepresentation, unauthorised activity, unauthorised communication, unauthorised collection of funds, financial misconduct, fraud, concealment of information or other conduct inconsistent with the policies, procedures or requirements of Global Legit shall inform Global Legit at the earliest opportunity through its official communication channels.

32.12 By participating in or engaging with Global Legit, each participant acknowledges and accepts the responsibility to exercise reasonable vigilance in relation to the activities of Regional Representatives and acknowledges the limitations of authority, responsibility and accountability applicable to Regional Representatives under this Disclaimer.

Clause 33 – Anti-Bribery, Anti-Corruption, Anti-Money Laundering and Sanctions Compliance

33.1 All participants, enterprises, institutions, organisations, investors, sponsors, stakeholders, Regional Representatives and third parties shall comply with all applicable anti-bribery, anti-corruption, anti-money laundering, counter-terrorism financing, sanctions, trade control, financial crime and related laws, regulations and requirements applicable in any relevant jurisdiction.

33.2 No person shall directly or indirectly offer, promise, give, request, solicit, receive, authorise or accept any bribe, kickback, improper payment, facilitation payment, unlawful commission, secret commission, financial inducement, benefit or advantage in connection with any process, programme, project, initiative, engagement, placement or activity associated with Global Legit.

33.3 Global Legit reserves the right to reject, suspend, restrict, terminate or remove any participant, enterprise, institution, organisation, investor, sponsor, stakeholder, Regional Representative or third party where Global Legit reasonably suspects any involvement in bribery, corruption, money laundering, sanctions violations, financial crime, unlawful conduct or other prohibited activities.

33.4 Participants shall promptly disclose to Global Legit any circumstance, transaction, relationship or activity that may reasonably give rise to concerns relating to bribery, corruption, money laundering, sanctions compliance or financial crime.

33.5 Any breach of this Clause shall constitute a material breach and may result in immediate suspension, termination, removal, reporting to competent authorities and such other action as Global Legit may consider appropriate.

Clause 34 – Audit, Verification and Information Rights

34.1 Global Legit reserves the right, at any time and without obligation, to request, review, verify, inspect, audit, assess, investigate or validate any information, record, communication, document, profile, submission, representation, transaction, activity, engagement or conduct relating to any participant, enterprise, institution, organisation, sponsor, investor, stakeholder, Regional Representative or third party.

34.2 Participants and Regional Representatives shall promptly provide such information, records, documents, communications, explanations, confirmations and supporting materials as Global Legit may reasonably request.

34.3 Failure to cooperate with any verification, audit, review, assessment or information request may result in suspension, restriction, rejection, withdrawal, revocation or termination of participation, appointment, engagement or access.

34.4 Global Legit shall have no obligation to disclose the reasons for conducting any audit, review, verification, assessment or investigation.

34.5 Nothing contained in this Clause shall create any obligation upon Global Legit to conduct any audit, investigation, verification or review.

Clause 35 – Protection of Reputation, Goodwill and Legitimate Interests

35.1 Participants, enterprises, institutions, organisations, investors, sponsors, stakeholders, Regional Representatives and third parties shall refrain from any act, omission, communication, publication, statement, conduct or activity that may damage, prejudice, undermine, impair or adversely affect the reputation, goodwill, credibility, standing, operations, relationships, interests, objectives or legitimate activities of Global Legit.

35.2 No person shall make any false, misleading, defamatory, malicious, inaccurate or unauthorised statement concerning Global Legit, its processes, programmes, projects, initiatives, representatives, stakeholders, enterprises, investors, sponsors, activities, timelines and milestones.

35.3 Any conduct that may reasonably be considered detrimental to the reputation, goodwill, stakeholder confidence, investor confidence, enterprise confidence, institutional confidence or commercial interests of Global Legit shall constitute a material breach of this Disclaimer.

35.4 Global Legit reserves the right to take such administrative, contractual, legal, equitable or other action as it considers appropriate to protect its reputation, goodwill, rights, interests and legitimate objectives.

Clause 36 – Right to Reject, Refuse, Remove or Terminate Participation

36.1 Global Legit reserves the absolute and unrestricted right, at its sole discretion and without incurring any liability, to reject, refuse, suspend, restrict, withdraw, revoke, remove or terminate any application, nomination, registration, profile, onboarding, participation, appointment, sponsorship, placement, engagement, collaboration, accreditation, recognition or involvement.

36.2 Global Legit shall not be required to provide reasons, explanations, justifications, disclosures or supporting information for any decision taken under this Clause.

36.3 No person shall acquire any vested right, entitlement, expectation or claim merely by reason of application, nomination, registration, profiling, onboarding, participation, sponsorship, appointment or engagement with Global Legit.

36.4 Any decision made by Global Legit under this Clause shall be final and binding, subject only to applicable mandatory law.

36.5 The exercise of rights under this Clause shall not prejudice any other rights, remedies, protections or actions available to Global Legit.

Clause 37 – Dispute Resolution

37.1 Where any process, programme, project, initiative, platform, publication, event, summit, conference, forum, activity, commercial placement, sponsorship arrangement, enterprise engagement, investment engagement, onboarding arrangement or other engagement conducted by or through Global Legit is governed by a separate agreement, policy, framework, terms and conditions, participation document, engagement document, sponsorship document, commercial placement document or other governing document containing dispute resolution provisions, any dispute arising therefrom shall be resolved in accordance with the dispute resolution mechanism specified in such document.

37.2 In the absence of a specific dispute resolution mechanism contained in any applicable governing document, all participants, enterprises, institutions, organisations, investors, sponsors, stakeholders, Regional Representatives and third parties shall first submit any dispute, claim, concern, grievance, disagreement, controversy or issue arising out of or in connection with Global Legit to the mandatory in-house dispute resolution mechanism prescribed by Global Legit and its associated verticals.

37.3 The in-house dispute resolution mechanism of Global Legit shall consist of one or more stages of administrative review, stakeholder consultation, conciliation, facilitated discussion, negotiation, mediation, multi-stage mediation processes, settlement discussions, escalation reviews or such other dispute resolution processes as Global Legit may determine from time to time.

37.4 Participation in the in-house dispute resolution mechanism, including all applicable stages of mediation, review, negotiation and settlement efforts, shall be a mandatory pre-condition to the commencement of any litigation, arbitration, regulatory proceeding, judicial proceeding or other formal dispute resolution process, unless prohibited by applicable law.

37.5 Global Legit shall have the right to determine, modify and administer the procedures, stages, timelines, mediation processes, review mechanisms, documentation requirements, escalation procedures and other requirements applicable to any in-house dispute resolution mechanism.

37.5A Participants acknowledge and agree that Global Legit, including its affiliates, associate entities, subsidiaries, divisions, forums, councils, committees, platforms, publications, programmes, projects, initiatives, commercial ecosystems, administrative bodies, review bodies, mediation bodies and other authorised verticals, shall have the authority to review, assess, evaluate, determine, decide, recommend, conclude, resolve or otherwise deal with any dispute, grievance, concern, complaint, issue, controversy or matter arising in connection with any process, programme, project, initiative, platform, publication, event, summit, conference, forum, activity, timelines, milestones or engagement conducted by or through Global Legit.

37.5B Any determination, recommendation, finding, conclusion, decision, resolution, settlement proposal, administrative outcome or other outcome reached through the in-house dispute resolution mechanism of Global Legit or any of its authorised affiliates, associate entities, subsidiaries, divisions, forums, councils, committees, platforms, publications, programmes, projects, initiatives, commercial ecosystems or verticals shall be final, binding and conclusive for all administrative, operational and internal purposes, subject only to any rights that may be mandatorily available under applicable law.

37.5C Participants further acknowledge and agree that no challenge, objection, appeal, review request or reconsideration shall be entertained in relation to any internal determination, recommendation, finding, conclusion, decision or administrative outcome except where expressly permitted by Global Legit or required by applicable law.

37.6 No participant, enterprise, institution, organisation, investor, sponsor, stakeholder, Regional Representative or third party shall commence or pursue any formal legal proceeding in relation to a dispute falling within the scope of this Clause unless the applicable in-house dispute resolution mechanism, including all prescribed mediation stages and escalation stages, has first been completed, exhausted, waived by Global Legit or otherwise concluded.

37.7 Nothing contained in this Clause shall prevent Global Legit from seeking interim, injunctive, conservatory, protective, equitable or urgent relief before any court, tribunal, arbitral tribunal, regulatory authority or competent authority where such action is considered necessary for the protection of its rights, interests, operations, assets, intellectual property, reputation, stakeholders or legitimate objectives.

37.8 Subject to any applicable dispute resolution provision contained in a separate governing document and subject to compliance with the mandatory in-house dispute resolution process set out in this Clause, the courts of the Dubai International Financial Centre ("DIFC Courts") shall have exclusive jurisdiction in respect of any dispute, claim, controversy, proceeding or matter arising out of or in connection with this Disclaimer, Global Legit or any process, programme, project, initiative, platform, publication, event, summit, conference, forum, activity or commercial ecosystem conducted by or through Global Legit.

37.9 Participants irrevocably submit to the exclusive jurisdiction of the DIFC Courts and waive, to the fullest extent permitted by applicable law, any objection based on venue, forum non conveniens, lack of jurisdiction or any similar ground.

37.10 By participating in or engaging with Global Legit, each participant acknowledges and agrees that disputes shall, wherever applicable, first be addressed through the relevant contractual dispute resolution mechanism or the mandatory in-house dispute resolution mechanism of Global Legit ad its associated verticals , and thereafter shall be subject to the exclusive jurisdiction of the DIFC Courts.
